Here's what you will do

1) Contract Management:

- Draft, review, and negotiate complex technology contracts, including software licensing agreements, SaaS agreements, vendor contracts, and partnership agreements.

- Prepare, compile, and conduct initial review of contract documents and proposed amendments; make modifications or redlines to various department contracts, including IT contracts, consulting agreements, vendor contracts, supplier contracts, partner agreements, and real estate leases.

- Track and maintain company contracts, including HR/recruitment agreements, real estate leases, non-disclosure agreements, and IT/technology agreements.

- Ensure compliance with contracting principles, applicable laws, regulations, policies, and procedures.

2) Mergers and Acquisitions:

- Support the execution of mergers, acquisitions, and strategic investments, particularly in the tech sector.

- Conduct legal due diligence, focusing on intellectual property, technology assets, and regulatory compliance.

- Draft and review transaction documents, including asset purchase agreements, stock purchase agreements, and transition service agreements.

- Coordinate with external counsel and internal stakeholders to ensure compliance with regulatory environments.

3) Legal Compliance and Governance:

- Stay informed about developments in technology law, employment law, and other relevant regulations.

- Ensure compliance with applicable laws and regulations, including Data Privacy, IT Act, online gaming laws etc.

- Manage and maintain corporate governance practices, ensuring compliance with internal policies and external requirements.

- Interpret and apply contracting principles, applicable laws, regulations, policies, and procedures.

4) General Corporate Law:

- Provide legal advice on corporate matters, including corporate structure, equity financing, and shareholder agreements.

- Assist with corporate restructuring, fundraising, and other strategic initiatives.

- Collaborate with finance, product, and engineering teams to provide legal support for new product launches and business initiatives.

- Independently manage pre-litigation claims, agency charges, and litigation, sometimes with the assistance of external counsel.

- Handle disputes related to contracts, employment issues, and mergers, including drafting legal notices and coordinating with external counsel for litigation or arbitration as needed.

- Support negotiations and settlements, focusing on minimizing risk and protecting the company's interests.

5) Administrative Support & Documentation:

- Update and maintain legal dockets, logs, and spreadsheets.

- Organize and prepare various legal reports.

- Assist in the timely intake and response to internal client requests, distribution, and collection of

- contract documents and project support documents.

- Deliver excellent customer service to internal and external clients, establishing and maintaining effective relationships in the course of work.
