VP/Senior VP - Legal - Transaction/Contract Management - IT/ITeS

Candidate Profile

- Must be at least 14 years Post Qualification Experience and should come from a good law school (as by this stage the different National Law schools had already commenced).

- Needs to come from the ITO / BPM / BPO / KPO sector.

- A foreign degree would be very attractive as that gives us a sense that they have an international perspective. The person needs to be the right balance between substance and style. This means that in addition to knowing the law they should be able to be able to influence an outcome.

- Need very good drafting skills. We need someone hands on who can run their own deals.

- Should be able to handle multiple deals at the same time.

- Will be responsible for the companies transaction / contracts management globally and so should be will to pick up the bags and ready to travel when required

- Should have previously worked with minimal supervision and have maximum accountability for the role.

Work Profile

Principal Accountability:

General - Manage the Team that does

- Complete contracts management. (pre & post closure)

- Managing claims and contractual disputes, proposal management.

- Driving and fostering innovation, in all stages of contract management.

Specific

Handling IT/ITES/System Integration/ Microwave Communication related contracts for outsourcing deals.

Overseeing and at time for large deals Conducting negotiations with clients.

Identifying contractual, commercial and operational risks and exposures in the contracts.

Providing inputs/mark-up on contracts to negate contractual, commercial and operational risks and exposures.

Manage the team Working with internal and external clients to structure, prepare, negotiate and finalize agreements, letters of intent, commercial proposals, etc.

Providing legal support for ongoing contract management related activities.

Working in close co-ordination with external legal counsel.

Participate in discussions with internal stakeholders, external counsels and advisors during the entire contracting process.
