Job Summary:
A large Rs 4000 Crore company with 9 plants and multiple other establishments operating Globally is looking for a Company secretary.
- The person should have 15-20 yrs working experience in a large company and should be within the age group of 38 – 48years.
- He would report directly to the CEO
Designation : Vice President Legal & Company Secretary
Education:
- A Bachelor Degree in commerce from a recognized University in India.
- The person should be a qualified Company Secretary.
- A Chartered Accountant or a Cost & Works Accountant degree along with C.S will be an added advantage.
Job Responsibilities:
The job responsibilities will inter alia include:
- All Secretarial functions as required under as required under the Company Law and SEBI guidelines-He should be fully conversant with all provisions including Statutory filing of returns and Compliance requirements
- Ensuring statutory compliance with The factories Act,Shop and Establishment Act , Packaged Commodities Act etc. and their various provisions and compliance requirements.
- Compliance with legal aspects of The Income Tax ,Excise and Service Tax , any other direct and indirect Taxation.
- Guiding and ensuring compliance under FEMA,Transfer Pricing and other issues concerning Operations in a Globalised scenario including IPR and WTO issues.
- Archiving and Sustaining Documentation Systems as per legal provisions under Indian and International Law..
- Maintaining effective Corporate Governance practices as per the Listing Agreement with the Stock Exchanges.
- Advise the management on Legal aspects of various projects.
- Drafting Agreements MOUs etc
- Liasing with Solicitors and preparing necessary briefs as and when required.
- Proactively advising the CEO and The Board of various legal issues at National and International levels
- Administrative head of Corporate Office and other establishments around the country
Desired Related Job Exposure:
- WTO and IPR exposure is essential
- Should have Worked in a SAP environment.
- Exposure to TQM and ISO systems including ISO 14001
- Conversant with issues like Carbon Credit etc
- Global Reporting Initiative for Sustainability reporting
- Salary will be comparable with the best in the industry
