Job Summary:
The Vice President - Finance & Company Secretary will be a key member of the leadership team responsible for overseeing all financial, regulatory, and governance matters of the company. The incumbent will ensure sound financial management, statutory compliance, strategic planning support, and corporate governance in alignment with applicable laws and best practices. This dual-role position is integral to achieving the company's long-term financial sustainability and ensuring adherence to statutory obligations as per the Companies Act, SEBI regulations, and mining industry-specific compliance frameworks.
Key Responsibilities:
Finance & Accounts:
- Lead all aspects of financial planning, budgeting, forecasting, cash flow, and financial reporting.
- Develop and monitor internal control systems and ensure statutory and tax compliance (GST, Income Tax, Mining Cess, Royalty Payments, etc.).
- Analyze financial performance and provide strategic recommendations to the executive team.
- Optimize capital structure and oversee fundraising, investments, and cost management.
- Manage relationships with banks, financial institutions, auditors, and government authorities.
- Oversaw project finance, mining asset evaluation, and capex planning.
- Lead implementation of ERP systems and automation of financial processes.
Secretarial & Compliance (Company Secretary Role):
- Ensure compliance with the Companies Act, 2013, SEBI Regulations, Mines Act, Environmental Clearances, and other applicable statutory requirements.
- Organize Board Meetings, AGM, EGM, and Committee meetings; prepare agendas, minutes, and resolutions.
- Manage corporate filings with ROC, MCA, SEBI, and other regulatory bodies.
- Maintain statutory registers, disclosures, and other secretarial records.
- Handle matters related to corporate restructuring, mergers & acquisitions, and joint ventures.
- Act as the nodal officer for corporate governance, ensuring best practices across the organization.
- Liaise with regulators and legal counsels and ensure timely responses to notices or legal queries.
Desired Candidate Profile:
Qualifications:
- Chartered Accountant (CA) and Company Secretary (CS) - both are mandatory.
- Additional qualification like MBA (Finance) or LLB would be an advantage.
Experience:
- 15+ years of experience in finance and secretarial functions.
- Prior experience in a listed company or mining/natural resources sector is highly desirable.
- Strong understanding of financial regulations, mining sector compliance, and corporate governance norms.
Skills:
- Strategic thinker with strong leadership and decision-making capabilities.
- Excellent analytical, communication, and stakeholder management skills.
- Ability to manage cross-functional teams and work in a fast-paced regulatory environment.
