Key Responsibilities:
Legal Advisory:
- Provide expert and strategic legal advice to management on various issues.
- Anticipate and guard against legal risks facing the company.
- Develop and lead corporate legal strategy to promote and protect the company's matters.
Compliance and Regulation:
- Ensure compliance with all relevant laws, regulations, and standards.
- Monitor changes in legislation and advise the company on necessary actions.
- Interface with regulatory bodies and manage regulatory compliance.
Litigation and Dispute Resolution:
- Manage litigation and coordinate with external legal counsel as required.
- Represent the organization in court or in other dispute resolution proceedings.
- Handle investigations and resolve disputes through negotiation or litigation.
Corporate Governance:
- Ensure the organization maintains the highest standards of corporate governance.
- Oversee the drafting and review of critical documents, such as board resolutions and meeting minutes.
- Advise on issues related to corporate structure and governance.
Contract Management:
- Oversee the preparation, negotiation, and review of contracts.
- Ensure that contracts are legally sound and align with the company's objectives.
- Manage the contract lifecycle from inception to termination.
Policy Development:
- Develop and oversee the implementation of internal policies and procedures.
- Provide training and guidance on legal and compliance matters to staff.
- Ensure that policies are up-to-date and effectively communicated across the organization.
Risk Management:
- Identify potential legal risks and develop strategies to mitigate them.
- Maintain a robust risk management framework.
- Conduct regular audits and assessments to ensure the company's risk profile is managed effectively.
Leadership and Management:
- Lead and manage the legal department, including recruitment, development, and performance management of legal staff.
- Foster a culture of continuous improvement and professional development within the team.
Role Requirement:
- Bachelor's degree in Law (LLB) from a recognized institution; a Master's degree (LLM) is preferred.
- Minimum of 15 years of legal experience, with at least 5 years in a senior legal role within the financial services industry.
- Strong knowledge of securities laws, regulations, and compliance in India.
- Excellent analytical, negotiation, and communication skills.
- Demonstrated ability to work in a fast-paced environment and manage multiple priorities.
- Experience in managing a team and working with senior management and board members.
