Role : Head - Legal

Location - Noida

B. Content & Context Factors

Regulatory Affairs, Compliance and Risk

- Lead Fund-raising through IPO and new avenues

- Work with SEBI, Company Law Board, Stock Exchanges, Banks, Super merchants, Industry Associations like IAMAI, IT and other Ministries and other authorities to ensure the Corporate Secretarial and Company Law compliance as per Listed Company norms and framework.

- Drafting and filing representations with the Statutory and regulatory authorities.

- Work with the stakeholders to ensure accuracy of filing of various regulatory returns and maintenance of filing records

- Look for cost saving opportunities and enhance revenue through appropriate regulatory measures

- Critically analyze the impact of any new regulatory/policy changes on the company and its competitors

- Work with cross - functional teams on data protection, policy, platform / partnership, product, and regulatory issues

- Familiarity with Internet laws and issues, including issues relating to online platforms and intermediary liability

- Evaluate inspection requests and summons and advice Management on the appropriate course of action

- Liaise with Risk Management and Internal Audit on risk related issues, legislation, rules, and regulations

- Update with latest industry developments related to e-commerce, payments, and acquisitions

Legal

- Vetting, Drafting and negotiating all kinds of legal contracts, including and not limited to Partner/Supplier Agreements, Joint venture contracts, Property Contracts, and License agreements

- Collaborate with the Office of General Counsel (OGC) to determine and evaluate the impact of current and new legislation, rules and regulatory developments, current/new projects and current/new service offering

- Prepare compliance framework to follow various Indian Commercial, Cyber, Corporate, Industrial, Mercantile, and Foreign Exchange laws applicable to all functions located in multiple states.

- Ensure that the framework meets internal and statutory requirements. Monitor non-compliance and escalate issues where non-compliance is not addressed

- Ensure that internal policies align with current and/or proposed legislation, rules and regulations. Work with the functional leadership on remediation in case of deviation

- Provide regular and timely feedback to Management; be proactive in the identification and resolution of issues that may have an impact on the firm's finances and/or reputation.

- Develop creative approaches to managing legal risks and resolving disputes

- Demonstrated ability to work in a collaborative, fast - paced environment and make sound judgments under tight deadlines

- Excellent communication skills

- Open to travel as and when required

- Candidates must be flexible and willing to work on projects in other areas
