Vice President - General Counsel - CS/LLB

Role Description: VP - General Counsel | Noida

This is a full-time leadership role for a VP - General Counsel, based in Noida. The ideal candidate will spearhead the IPO execution process and oversee the legal, secretarial, and compliance functions within the organization. You will be responsible for ensuring adherence to regulatory requirements while aligning legal strategies with the company's business objectives.

Key Responsibilities:

1. IPO Execution and Compliance:

Lead and manage Pre and Post IPO activities, including:

- Drafting and finalizing DRHP, RHP.

- Securing necessary approvals from regulators.

- Setting up internal processes for listing and conducting due diligence.

- Acting as the key liaison between the company and lawyers, merchant bankers, and regulators.

- Ensuring compliance with SEBI regulations (LODR, PIT) and other mandatory frameworks.

- Managing post-IPO compliance: structured digital databases, corporate governance policies, and ESOP-related filings.

2. Corporate Legal and Compliance:

- Oversee the company's legal framework to safeguard interests and provide strategic advice on legal rights and obligations.

- Handle M&A transactions, partnerships, compliance issues, and commercial transactions.

- Lead corporate governance initiatives to maintain legal standards across the organization.

- Manage board, committee, and shareholder meetings, and ensure adherence to legal obligations.

- Advise management on legal strategies and risk mitigation.

3. Stakeholder Management:

- Build strong relationships with internal and external stakeholders:

- Collaborate with the Founder & CEO, CFO, and business heads to align legal strategies with business objectives.

- Coordinate with regulators, legal advisors, and IPO stakeholders to ensure smooth communication and compliance.

Qualifications:

- CS (Company Secretary) and LLB (Full-time) from a recognized institute (Batch: 2002-2009).

- Minimum 20+ years of experience in legal, secretarial, and compliance functions.

- Proven track record in Pre and Post IPO execution and listed company compliance.

- Strong expertise in corporate law, IPO process management, SEBI regulations, and governance frameworks.

- Excellent stakeholder management, leadership, and negotiation skills.
