We are seeking a highly experienced and dynamic Company Secretary to join our team. This pivotal role involves overseeing our compliance functions and working closely with legal counsels both within India and internationally. The ideal candidate will manage the establishment and administration of onshore and offshore funds, ensuring comprehensive regulatory compliance across multiple jurisdictions.

Location: Noida Sector 16 (Wework Berger Tower)

Budget: it's open (not fixed for the right candidate)

- This individual contributor role reports to one of the Senior Partners.

- The company works from Monday to Friday and on alternate Saturdays (9 to 3:30 pm)

Key Responsibilities:

Fund Management and Compliance:

- Establishment and Management of Funds: Lead the setup and management of onshore and offshore Alternative Investment Funds (AIF) Category-II.

- Regulatory Compliance: Ensure all activities comply with applicable regulations, including Company Law, the LLP Act, SEBI Guidelines, and the Indian Trust Act.

- Legal Coordination: Draft, review, and negotiate various legal contracts related to fund establishment and investor agreements.

Legal and Regulatory Engagement:

- International and Domestic Liaison: Collaborate with legal counsels in India and globally to facilitate fund operations and compliance.

- Regulatory Authorities Coordination: Interface with regulatory bodies such as the Registrar of Companies (RoC), Reserve Bank of India (RBI), and Securities and Exchange Board of India (SEBI) to ensure regulatory adherence and resolve any issues.

Investor Relations and Management:

- Investor Engagement: Build and maintain robust relationships with investors, including onshore and offshore General Partners (GPs) and Limited Partners (LPs).

- Business Development: Identify, cultivate, and develop new investor relationships to support business growth.

- Investment Proposals: Prepare and present compelling investment proposals, effectively negotiating and closing transactions.

Stakeholder Coordination:

- Key Stakeholder Relationships: Engage with promoters, directors, C-level executives, and other key stakeholders to drive business development and execute mandates.

- Collaboration with Stakeholders: Coordinate with auditors, legal counsels, and various stakeholders both domestically and internationally to ensure smooth fund operations.

International Engagement:

- Travel Requirements: Travel as necessary, both domestically and internationally, to set up funds, meet with investors, and engage with regulatory authorities.

- Global Collaboration: Work closely with the management team across different locations to align strategies and ensure cohesive operations.

Skills and Qualifications:

- Extensive Experience: Over 10 years of experience in client and investor coordination, with significant expertise in setting up and managing AIFs and private equity funds.

- Leadership and Management: Proven ability to manage project teams or lead functional verticals effectively.

- Compliance Knowledge: In-depth understanding of compliance requirements within the investment banking and fund management sectors.

Education:

- Professional Qualification: Certified Company Secretary (CS) with a degree in Corporate Law or a related field.

Skills:

- Coordination and Relationship Management: Exceptional skills in coordinating activities and managing relationships with investors and clients.

- Leadership: Strong leadership capabilities with a track record of effective team building and management.

- Communication: Excellent written and verbal communication skills in English.

- Proactivity and Motivation: A proactive, self-motivated approach with high competence in legal and financial domains.

- Industry Knowledge: Comprehensive understanding of industry practices and regulatory frameworks.

Industry Exposure:

- Relevant Experience: Significant experience in investment banking or financial advisory services.

- Fund Establishment: Proven success in establishing and managing AIFs both domestically and internationally.
