Overview
The candidate will be responsible for legal matters within the organization and will form an integral part of the legal team. The candidate shall ensure that organizational legal matters are managed properly, economically and efficiently and will be accountable for proper advice and guidance to all concerned branch heads. She/he shall assist in the risk management if any, based on organizational matters of concerns.
The key responsibilities also include, but not limited to: (this list is non-exhaustive)
- Research oriented analysis on existing laws as well as the complete update on amendments.
- Vetting and advisory on Request for Proposals issued for various infrastructure projects, by Private Organizations as well as Government and Statutory bodies.
- Drafting of various Applications, Petitions including Writ Petitions, Winding Up Petitions, etc., Claims, Counter-Claims, Rejoinders, Written Statements, Evidence Affidavits, Legal Notices, Reply to Legal Notices, Criminal Complaints, RTI Applications, etc.
- Represent the company in various types of contractual matters and civil matters primarily entailing summary suits, writ petitions, Insolvency and Bankruptcy proceedings and other matters pertaining to Cheque Dishonor, across various Courts.
- Briefing, interacting and coordinating with various Law firms, Counsel and Senior Counsel regarding all the cases involving the company.
- Strategizing with Counsel and management on the evidence and other relevant aspects of the case, drafting Legal Notes, etc.
- Drafting and vetting of routine contracts and agreements pertaining i.e. leave and license, non-disclosure agreements, intellectual property rights etc., vetting and advising on tender documents and coordinating with panel of lawyers.
- Drafting and vetting of various types of contracts entered into or to be entered into with various Private, Semi Government, Government, and Statutory Bodies.
- Preparation of detailed notes for management as well as clients, on extant as well as potential legal and contractual issues.
- Drafting and vetting of MOA, MOU, Joint Venture agreements, consortium agreements, Settlement agreements, undertakings, various letters etc.
- Visit to competent authorities for documentation, follow up and keeping the record of same.
- Coordinate and make arrangements required for Arbitration proceedings and support in providing required documents to appointed Advocate for the proceeding of Arbitration.
- Passion for working in the infrastructure sector.
Qualifications:
The candidate should possess a Bachelors Degree / Master in Law (LLB/LLM), with at least 10 to 20 years of relevant work experience.
Core Competencies:
Ability to identify and analyze complex issues/problems pertaining to legal matters within the organization and suggesting relevant solutions. Has good understanding of Contract Act, Transfer of Property Act, Code of Civil Procedure, Code of Criminal Procedure, Arbitration Act etc. Ability to manage office functions economically and efficiently, plan work, maintains good interpersonal relations and communications with all branch heads. Has the ability to evaluate and weigh all legal aspects and / or situation, and be able to provide sound solutions, with the ultimate aim of protecting the legal rights of the organization.
