Senior Manager / AVP Legal Council for an MNC BPO in Hyderabad.

OVERVIEW

- The Senior Counsel supporting India will be a member of the ESI Legal team reporting directly to the Vice President of ES International Legal, and will provide day to day legal support and advice to management and associates of the two businesses of in India, i.e. (i) our shored shared service center providing internal services to various business units across the globe and located in Hyderabad and in Pune, and (ii) our local payroll business located in Chennai. The Legal Counsel will then work with and collaborate directly with the Managing Director.

- The role will include responsibility for supporting the businesses in the implementation of Corporate policies, the negotiation of agreements, and the development of new projects requiring a legal review. The role will also include a significant part of training to all associates with respect to policies and legal or contractual matters.

ESSENTIAL RESPONSIBILITIES

With respect to both businesses in India:

- Drafting, negotiating and advising on contracts, vendor agreements, licence agreements, alliance agreements;

- Advising on data privacy laws, security issues in India and other compliance items;

- Advising and providing training to all associates on Foreign Corrupt Practices Act (“FCPA”);

- Advising and providing training to all associates on internal policies;

- Advising on employment law matters and agreements including handling matters related to dismissal claims;

- Drafting, reviewing any commercial property leases and liaising with Legal Property as required;

- Advising senior management on legal issues as they relate to business structures and practices;

- Ensuring the protection of the Company’s confidential information and intellectual property including
without limitation trademarks, copyright in software and training materials;

- Liaising with regulatory authorities and advising on regulatory matters affecting the company;

- Managing litigation for the Company and liaising with external lawyers as required. Litigation will include without limitation managing debt recovery proceedings and handling matters such as wrongful dismissal claims;

- Follow-up of Company Secretarial matters for all Indian entities;

- Responsible for reviewing external publications and advertisements;

- Liaising with our Global Security Organization, maintenance and update of the Company’s health and safety manual and advising on occupational health and safety issues;

- Undertaking any other reasonable activity or task, as directed by the VP Legal or the Managing Director;

With respect to the local payroll business:

- Drafting, negotiating and advising negotiators on terms and conditions, general contract matters and contract law. Drafting approved amendments to contracts as required;

- Ensuring required authorizations are obtained at the local or ESI level;

- Providing training to sales associates on legal areas including contracts, data privacy and liability;

- Controlling and developing the format of ADP standard contract terms and conditions; business

- Reviewing changes in the Offer and Service Definition to ensure consistency with Terms and Conditions.

1. Ensure that our Indian activity is under control from a legal standpoint.

2. Implement a smooth process between Legal in India and the rest of the organization (both ESI and Corporate US).

Specific Skill / Experiences:

- In-depth knowledge of contract law, negotiation processes, Data Privacy regulation, Foreign Corrupt Practices Act and Employment laws.

- Will be able to demonstrate solid understanding of the purchasing process as well as the sales process, and have ability to relate to and educate the purchasing force and sales force in best practice and compliance.

- Sound drafting skills both in local language and in English will be required as well as ability to fine tune existing templates to reflect local requirements, these changes to remain in line with corporate guidelines.

- Past experience in intellectual property management

- Past experience in legal issues associated with FCPA and FCPA compliance programs

- Must possess excellent communication/relationship building skills and be able to influence at all levels,
including senior management, both internally and externally.

- Must be able to represent the Company in a professional manner to all associates and clients of the Company.

- Must influence multi-directional and non-linear relationships.

- Must be able to clearly articulate advice, and to deliver legal advice accurately and in a timely manner.

- Excellent time management, presentation and organizational skills

- Excellent inter-personal communication skills.

- Business oriented mindset supported by a passion for quality and excellence

- Excellent analytical skills and communication skills are required.

- Able to adapt style to different working environments, situations and cultures. In particular, must be able to work with other lawyers in Asia, Europe, and the US.

QUALIFICATIONS & EXPERIENCE

- Education/qualification: Will be educated to degree level in relevant subject matter and hold formal legal qualification (India)

- Admitted to practice with a corporate practicing certificate or full practicing certificate or equivalent in India

- Proficiency in English (both spoken and written) is required.

Work Experience:

- Must have acquired at least 8+ years law experience requiring an equal mix of legal advice and commercial judgment in an MNC BPO / IT company.

- Experience working as in house counsel preferably in a Multi National Company in India and outside of India.

- Experience within a payroll/HR system arena preferred but not required.
