About the Company : A leading U.S Based Multinational into healthcare vertical
- Assisting senior management in formulating corporate plans by providing necessary inputs on and ensuring compliance with industry specific laws relating to the industry, Government policy on pricing, excise, foreign exchange regulations, stamp duty regulations etc.
- Drafting, vetting, negotiating and executing various strategic commercial agreements including that of manufacturing, supply, distribution, marketing, sales, product licensing, employment, procurement and non-disclosure etc., with both domestic and international third parties;
- Providing solution oriented legal advisory, guidance on specific issues as may be sought by different functions
- Providing guidance on and support the business in Intellectual Property related matters;
- Supporting the business through the entire process of new product introduction / launch;
- Provide US Foreign Corrupt Practices Act (FCPA) related advisory, and support compliance initiatives;
- Providing legal support to brand protection initiatives;
- Providing training to business on various issues relating to law;
- Supporting other functions such as HR, Operations, Quality Assurance, R&D, Manufacturing, , Marketing, Sales and Finance with their various legal issues;
- Proactively partnering and engaging with other lawyers regionally to drive active knowledge sharing;
- Contribute and drive drafting of all kinds of applications, pleadings, petitions, replies, rejoinders etc. in the offensive and defensive litigations in which the Company may be involved. Attend courts and other judicial and non-judicial forums in close coordination with outside counsel and handle litigation matters and strive to protect company’s interests in these litigations;
- Filing / prosecuting appeals / reviews, revisions, etc. and opposing / defending show cause notices, demands, prosecutions, etc. under state / central excise and customs regulations;
- Handling consumer protection and product complaints issues, etc.
- Keeping abreast of changes in relevant laws, rules, regulations, etc and advising on implications for the Company’s business.
On need basis
- Advise the Senior Management on corporate restructuring matters such as mergers, acquisition and hive offs, etc.
- Advise management on issues involving FDI, FEMA, FCRA and such other specialized laws.
