Job Description:

Position : Senior Manager - Legal & Company Secretary

Location: Corporate Office, Bangalore

Reporting to: VP - Finance

Duties and responsibilities

- Planning, organizing, preparing agenda & minutes of board / committees and general meetings

- Preparing and filing necessary documents, returns, E-forms with ROC

- Maintaining statutory books, including registers of members, directors etc.

- Monitoring changes in share ownership of the company.

- Preparing Corporate Governance Report, Directors - Report, annual report and coordinating with Auditors for the audit of the Corporate Governance Report.

- Periodical compliance of provisions of Listing Agreement / SEBI regulations such as filing quarterly shareholding Pattern, Corporate Governance Report and publication of reports, notices and financial results in Stock Exchange and Company website and in newspapers etc.

- Compliance with SEBI takeover and Insider Trading Regulations

- Co-ordinate with Bank for dividend payment / revalidation / reconciliation

- Printing of Annual Report / Dividend warrants

- Creation, registration, modification & satisfaction of charges, filing E-forms and maintaining of Register of Charges.

- Correspondence with shareholders / Share transfer Agents.

- Ensure transfer / transmission / issue of duplicate share certificate on time.

- Redressal of shareholder grievances.

- Vetting of loan documents, drafting / vetting agreements, contracts, POAs / authorizations, court statements, affidavits, plaints, objections, replies, counter statements, rejoinder and other documents.

- Keeping track, compiling, filing and handling of cases with various courts, CESTAT and other tribunals.

- Review Legal cases and provide periodical update of pending legal cases.

- Co-ordinate with government departments for registrations / renewal of licences .

- Monitor required changes in relevant legislation and regulatory environment, analysing applicability of various changes or amendments.

- Registration/renewal of trademarks

Person Profile:

- A CS and LLB with 10-12 years of work experience in a large manufacturing industry in the Legal & secretarial department
