A leading Japanese Multinational which is into infrastructure,construction and design is looking for a senior administrator with hands on experience in contracts management,due diligence activities,and in depth knowledge of contract and commercial laws, insurance, direct and indirect taxes, custom related issues etc.
Key Responsibilities:
- Responsible for checking both contracts with client and LOA.
- Transaction structuring, drafting, reviewing, negotiating and finalizing contracts and all types legal
documents including bids, concession agreement, JV agreement, guarantee documents, consultancy -
contract, LOA, MOU, NDA, RFP, RFQ, retails contracts, O&M contracts, lease, license and all other
regular business contracts.
- Contracts management and advising the top management on the legal nuances of contractual issues.
- Having in depth knowledge of contract and commercial laws, insurance, direct and indirect taxes, custom
related issues etc.
- Due diligence activities; Familiarity with labor/industrial laws, IPR matters (trade marks, domain name,
copyrights) & indirect taxation especially on service tax and works contract.
- Keeping fully up to date with all related laws by research and by screening legal publications. Researching
and analyzing laws that may create risk for or otherwise affect the company; counseling internal business
clients on the business implications of these laws; and assisting in developing policies, procedure and risk
mitigation strategies.
- Advising business on a full range of strategic and tactical legal issues and creating, implementing and
communicating essential policies & processes. Working closely with other department on commercial and legal issues. Working with external legal advisors and internal legal department staff on corporate litigations/arbitrations; managing and co-coordinating external legal resource.
- Knowledge of contract conditions of contracts like FIDIC, CIDC etc shall be added advantage.
- Drafting legal letters to sub-contractors etc, for risk & cost matters or for charging penalty or reimbursing costs due to non compliance of statutory dues like PF, ESI etc.
- Handles the contract function with focus on quality and low tolerance to error, independently.
- Be associated with the project throughout its lifecycle. Provide expert opinion on legal and contract related
matters.
- Structuring, Drafting, negotiating and settling contracts with the Clients.
- Preparation and scrutinization technical know-how agreements, consortium agreements, joint venture agreements and secrecy agreements etc.
- Identification of risk and establish a risk mitigation mechanism which is aligned to the strategic planning process of the organization and embedded to the business process of the company, etc.
- Responsible for coordination with solicitors, counsels and consultants for opinions, clarification, litigations
matters, etc.

Experience: 10 – 12 years
Special Requirement: Experience in construction companies with strong contracting with Indian and international contracts.
Qualification: Graduate / Maters Degree in Law.
