Qualification : CS Complete

Job Responsibilities :

- Should be a member of the Institute of Company Secretaries of India

- Able to manage the secretarial functions of a listed company

- Knowledge on Corporate Laws, Manage all sorts of statutory compliance

- Maintain all statutory records/ register as per Companies Act

- Will be assisting the Senior Company Secretary

- Vetting and forming various License & Lease agreements

- To act as a legal compliance officer and advice management about compliance and legal course of actions

- Support the field on day to day legal matters and compliance

- Ensure compliance to relevant Company Law and other Governing laws.

- Track and ensure timely resolution of all company law related disputes.

- Draft and develop the documentation related to constitution of new SPVs.(Sister Concerns )

- Ensure all Board meetings are conducted as per the Regulatory and Statutory norms.

- Ensure investor updates.

- Ensure accurate and timely filing of relevant Statutory Returns/documents.

- Prepare the Agenda and support the conduct of the Board and Annual General body Meeting

- All relevant secretarial records are accurately prepared, maintained & circulated to relevant stakeholders.

- Build relationships with ROC (Return on capital), Practicing company secretaries.

- Develop the Corporate Governance framework.

- Ensure effective investor complaints resolution mechanisms are in place.

- Interacting with Board of Directors and the Consulting Company Secretary.

- Handling Share holder's queries and grievances.

- Ensure timely and correct payments of TDS, Service Tax, WCT, VAT, Advance Tax and self assessment taxes to authorities and filing of returns.

- Ensure timely and correct Tax issues status report on monthly basis

- Ensure timely and accurately submission of data in case of Assessments of Taxes.

- Ensure Issuance of TDS and other mandatory certificates within required time frames.

- Review of tax payments periodically and reconcile it with financial statements.

- Identify and implement changes required to the system for ensuring proper accounting of tax related transactions and adequate reporting to enable smooth and efficient compliance's.
