Spark Capital - Fund Specialist - Midas Investment Banking

Background:

Spark is raising its first Near-IPO / Late-Stage Equity fund under a CAT-II AIF structure - Spark Midas Fund - I. The fund is expected to:

1. Invest in IPO-bound companies (with a time horizon of a maximum of 3 years to IPO) by way of primary or secondary transactions

2. Opportunistically invest in PIPE / QIP opportunities in Listed small cap companies.

3. Investment sizes per company could range from - 20 - 100 cr with co-investments by selected LPs of the AIF.

Spark Midas Fund - I will originate investment opportunities through Spark's investment banking network and by way of referrals from other investment bankers.

Spark Midas Fund - I will be sector-agnostic, in general, and market-cap agnostic with regards to IPO-bound companies.

Spark Midas Fund - I will be managed by a dedicated fund manager with support from investment associates. All investment / divestment decisions will be approved / guided by a strong investment committee consisting of senior management team members of Spark Group

Principal Accountabilities:

- Deal sourcing, deal screening, deal evaluation including by way of site visits, research, financial modeling, review of contracts, etc. to develop commercial term sheets based on investment objectives of the fund and market requirements.

- Preparation, co-ordination and follow up of Investment proposals for approvals

- Interact with investment bankers, legal advisors, audit and tax consultants, technical specialists and any other kinds of advisors as may be required for the above.

- Deal negotiation and closure of approved investments

- Implementing of investment strategy for the portfolio including valuations and hold/ sell decisions

- Support in development of new relationships in the market to build deal pipeline

- Assist in cultivation of relationship and communication with existing and prospective investors and the fund's investment committee

- Maintain and develop external vendor/ partnering relationships to support investment management activities as required

- Conceptualization of new products and supporting business development activities (new fund raising)

- Monitoring of investments of the fund

- Assist in development of investor communication on market outlook and fund strategy as required

- Ensures the maintenance of due records of all investment management activities in accordance with specified procedure
