Senior Role - Legal - Wholesale Banking

Job Responsibilities :

- This position is responsible for advising Wholesale Banking business and support functions on legal issues touching their day to day work, business of the Company, new developments in the field of law, Regulatory and statutory updates, Latest case laws, advising on structured transactions and Review of Documents from time to time etc. Must have the ability to handle the team, negotiate and close documents independently.

- This position is also responsible for the establishing and developing network with Law Firms, Advocates, Senior Counsels, RBI / SEBI, police authorities, various offices attached to the court, legal professionals working in other companies, etc

- Must have the expertise in due diligence of various types of Borrowers and Security Providers like Companies, Trust, Partnership Firms, LLP etc.

- Must have the expertise in drafting, negotiating and finalisation of the documents relating to Wholesale Banking loan transactions like term sheets, sanction letter, loan agreements, security documents, security sharing arrangements, security trustee/security agent agreements,

- Must have the expertise in requirements of registration of charges/documents and effect of non- registration thereof;

- Must have the expertise in the corporate laws, securities laws, more particularly in Company Law, laws relating to guarantee, pledge, agency, hypothecation, bailment, partnership, LLP, director's liability, Transfer of Properties, succession, sale, mortgages, lease, charge, specific performance, exchange, claims etc. Must be well versed with laws relating to banking, leasing and hire purchase, Sales and Goods laws, criminal laws and the property laws

- Must have the expertise in recovery of dues including recovery litigations and working of various legal forum/courts etc. Must have ability to draft the plaint, complaint, FIR, written statement, reply, affidavits, etc independently. Must have the practical knowledge of court processes and actual court working.

- Must have ability to handle the issues relating to investigation of property, leasing/hire purchase and due diligence of legal aspect of different type of Borrowers. Must be good in structuring the deals which are compliant with applicable laws, regulation and guidelines.

- Must possess goof knowledge of RBI and SEBI circulars, guidelines and directions. Must have knowledge of various lending products like Project Finance, loan against property, loan against shares, Operating Lease etc.
