Position Name: Sr. Manager Legal

Education: (Degree/diploma) LL.B., LL.M. will be an added advantage
Reporting to: Senior Vice President - Legal
Experience: 10+ years' relevant experience within an In House role in a pharmaceuticals/life sciences business and/or experience from within a legal firm with a strong practice in the pharmaceuticals/life sciences space.
Purpose of the Role: The Senior Manager - Legal provides general and commercial legal advice to the business with a focus on drafting, negotiating and managing various types of agreements to support the commercial operations of company's business in India.
Job Responsibilities:
Commercial Agreements to draft and structure key commercial and technical agreements for IF business. Drafting, preparation, review and negotiation of various types of agreements including:
a) Commercial Licensing,
b) Supply & Distribution Agreements,
c) Confidentiality Agreements,
d) Expert and Consultancy Service Agreements,
e) Master Service Level Agreements,
f) Pre-Clinical & Clinical Agreements,
g) Regulatory and Technical Agreements,
h) Pharmacovigilance Agreements,
i) Wholesaler Agreements,
j) Sales Terms and Conditions,
k) Acquisition Agreements,
l) Agency Agreements,
m) Employment Agreements
NPPA Matters and Litigation: To help respond to NPPA show cause, demand notices, both existing and any notices in future, so as to avoid/delay/reduce/negate the payment of any overcharging demand and or interest If required initiate legal to support company's contention.
Marketing Laws Advisory: Assist and provide opinion to IF teams on India marketing laws and help the marketing activities of IF are conducted in compliance with laws. Provide training on marketing laws/SOPs.
Training on Compliances: Conducting training on Anti-Competition and Anti-Corruption laws affecting Company.
Knowledge and Skills (Functional/Technical):
- Commercial contract drafting and negotiation experience from within pharmaceuticals/life sciences.
- Ability to have influence across all levels of the business
- Including peers and senior management, and able to work Independently.
- Exposure to Litigation, and to Intellectual Property law would be advantageous.
- Strong business and financial acumen. Strong communications and drafting skills, including the ability to draft high quality agreements and documentation.
- Detail oriented, have good judgment and sound risk mitigating skills, Strong negotiation skills
- Well-versed in how business operate High degree of professional ethics, integrity and gravitas.
- Excellent judgment and analytical skills. Strong interpersonal and communication skill.
