Skill and Qualifications:

I. LL.B from any college/university of repute duly recognised by BCIB. (Mandatory)

II. Experience - 8 to15 yrs. (approx) post qualification.

III. Sound knowledge of civil, criminal laws,Telecom/Real Estate laws.

IV. Hands on experience in handling and managing the Litigation.

Job Purpose:

This role is responsible for entire legal aspect of a telecom circle, inter alia, handling, analysing, strategizing, advising, and implementing the appropriate actions for Litigation, Contract & Compliance management and Labour Laws including strategy for risk mitigation etc. for achieving the organization's ultimate vision and objectives.

Position Reporting to:

1. Circle Chief Executive Officer (CCEO) - Administratively

2. Regional Legal Head - Functionally

Key Responsibilities includes:

A. Litigation Management

i. Handling managing all sorts of Litigations, inter alia, civil, criminal, arbitration, IBC and labour law before Supreme Court, High Courts, District Courts and Tribunals etc. and maintaining proper records thereof.

ii. Excellent understanding of local Court rules, procedures

iii. Must have reasonable understanding / knowledge of major local language & customs of the State(s) where the candidate operates as Legal head.

iv. An effective communicator with exceptional relationship management skills and adept at maintaining cordial business relations with legal counsels and other internal/external agencies/customers.

v. Ability for Independent handling of cases/ issues by analysing and understanding the root cause thereof and pro-actively planning strategy to avoid any unwarranted litigation.

vi. Compilation of the relevant data and materials for favorable disposal of case.

vii. Focus on reduction in number of existing litigations and special focus in reduction of existing criminal cases against the company.

viii. Handling portfolio of 5000 to 15000 telecom towers and issues related thereto and safeguarding them against any coercive action of local authorities or other wise for smooth operation thereof and ensuring revenue generation therefrom.

ix. Managing Legal affairs involved in operations of the Circle/State/UTs, more than 30 Districts, above 100 local authorities, more than 10,000 landlords, 150 to 500 partners, around 100 -250 on roll employees, around 400 off role personnel.

x. Attending court/tribunal hearings in the litigation matters.

xi. Saving financial interest of the company by obtaining favourable orders against the illegal and unjustified demands by various authorities and landlords.

B. Acquisition and Infrastructure Management

i. Ensuring that the properties which are being taken over by the Company in the area of operations to install infrastructure/ cell site (ranging from INR 3 lacs to INR 30 lacs) is having an absolutely clear legal title and is free from all encumbrances while meeting other parameters.

ii. Carrying out and arranging Legal Due Diligence & Title search of each property at Sub Registrar office located in the district wherein property is situated within reasonable timelines.

iii. Physical verification of all the title documents related to each such property from inception/initial allotment to ensure there in no deficiency / any room in future for legal dispute/ case of criminal trespass against directors, management and employees.

iv. Approving acquisition in the IT enabled tools.

v. Ensuring adherence of standard templates of agreements legal compliance at the time of execution of contracts for telecom sites.

vi. Evaluation of deviation of any terms of the standard template of the agreement and providing legal inputs therefor.

vii. Ensuring compliances under Stamp Act and Registration Act,

viii. Facilitating on requirement of permission for installation and operation of towers as per the State Tower Policy and keep updating the team in case of any amendment therein.

ix. Resolving hold & lock site issues by providing timely legal support to deployment and Operation teams respectively.

x. Facilitating and guiding field team in filing of complaints of all nature under the relevant provisions of law to ensure smooth and complaint operations.

C. Contract and Document Management

i. Vetting and analysing various types of contracts in line with business needs and exposure involved.

ii. Handling of various tenders, RFP, e-auctions, smart city projects for installation of telecom towers at strategical/critical locations owned by local/government authorities.

iii. Preparing pre-bid queries, identify legal risk and provide inputs and recommendation on Institutional Acquisition, RFPs & Projects documents etc.

iv. Negotiating legal clauses and due execution of all Contracts including cell site agreements in a time bound manner while ensuring that every word / clause in the said agreement is legally tenable while taking care of Company's interest in all respects.

v. Ensuring timely renewals of Contracts wherever required.

vi. Drafting & vetting of legal notices, reply and representations on time and maintain records including MIS thereof.

vii. Obtaining necessary approvals from all concerned as per company delegation of authority before execution and keep the executed contracts in its safe custody strictly as per contract manual.

viii. Take inputs from all concerned function/s and accordingly draft, vet, negotiate & close the various types of Contracts in house with third parties with whom the company is entering into some arrangement to augment its business

D. Compliance Management

i. Ensuring compliances of all applicable laws to the business of the organisation,

ii. Guiding and supporting cross functions in ensuring compliance and for submitting the compliances and other reports on timely basis.

iii. Reviewing and supervising the status of compliance at regularly and conduct monthly review with CFT and sharing the outcome of review as MOM with all stake holders.

iv. Ensuring Internal Financial Control compliances for the legal function at circle.

E. Management of External Environment:

i. Effective relationship with statutory bodies/external agencies operating/governing the States,

ii. Meeting with Statutory bodies to resolve any demands issue.

iii. Replying notices of Statutory bodies with relevant and convincing facts to evade any "against" orders.

iv. Drafting representations related to tower policy for implementation and alignment with RoW Rules.

v. Representing company in industry meeting and CCC for implementation of state policy.

vi. Close interaction with Heads of different local authorities governing the area of operations / State etc.

vii. Close interaction with various government departments / local police

F. Other important Work

i. Ensuring closure of open audit and assurance points.

ii. Day to day advisory to cross function, sharing or providing legal opinion on different aspects of business. Advising management on Risk Exposure (Evaluation and Mitigation) in line with business needs.

iii. Advising the management for modification of terms and condition on basis of risk identified.

iv. Evaluation of risk and advising circle leadership team & Regional Director.

v. Ensuring adherence of Company's and functional processes & policies.

vi. Handling special projects.

G. Information and Data Management

i. Timely and accurate submission of all reports and information to the concerned stake holder and able to present the same in any forum.

ii. Keep abreast all the information on the related inhouse IT enabled tools.

iii. Keeping track of all new policies, regulations, Dissemination of information across circle in a structured manner from Corporate & random Audit thereof.

H. Team Management & Training

i. Handling team of 3 - 4 on roll members and 2 - 4 para legal members

ii. Leading the circle function, mentoring the team members.

iii. Imparting training to other departments on provisions of law and other related documents relevant to company's business,

iv. Attending trainings external and internal (ILC),
