Role Summary
Lead the secretarial function and provide legal support
Role Responsibilities
- Drive process rigor, execute and manage compliance under Corporate Laws
- Convening Board Meetings, Committee and General Meetings; Preparing agenda and minutes
- Preparation of action points of meetings and follow up of the same on a timely basis
- Prepare and file all the statutory forms with SEBI, MCA, etc. within the stipulated timelines
- Liaison with the directors or their offices at the appropriate time regarding intimating meetings, annual disclosure, filing of forms, etc. as per the guidelines
- Compliances and liaising with Ministry of Corporate Affairs, Registrar of Companies, RBI, SEBI and other statutory authorities
- Coordination with Statutory Auditors on all secretarial compliance
- Implementing Corporate Governance processes
- Supporting compliance with all statutory requirements and working with internal and external agencies to carry out legal compliance audits
- Validate contracts/agreements from legal viewpoint
- Conduct review of legal document, standardize templates & lay out standard operating process
- Co-ordinate with legal counsels for managing
- g IPR (Trademark application, filing opposition, others)
- Exposure to manufacturing and packaging rules will be desirable.
Qualifications
- Member of the Institute of Company Secretaries of India; Also, LLB preferable
- Experience with preferably in house experience with above responsibilities for a manufacturing organization
- Working in secretarial and legal function of a listed company
- Unyielding commitment to ethics & high personal integrity and impeccable professional ethics
- Ability to communicate effectively and inspire confidence in teams, executive management and peers
- Ability to successfully work in cross-functional teams
