JOB DESCRIPTION :

- Review and negotiation of contracts such as Master Services Agreements, Outsourcing & BPO Agreements, Software Licenses, Subcontracting Agreements, Data Protection Agreements, Agreements with Alliance partners, Suppliers, Procurement and Real Estate Agreements. This involves negotiations directly with the clients and their attorneys and requires close interaction with the various departments of the company, including the business, finance, and delivery teams.

- Preparing responses on the contract terms for Request for Proposals, including those related to public sector, and identifying and articulating the legal and business risks.

- Review and management of Inter Company Agreements between various group companies.

- Ensure compliance with laws and company policies while supporting business.

- Working on strategic alliances/initiatives, global/local project.

- Driving global Legal projects from India and working with the regional legal teams on global projects where applicable.

- Provide support to legal team members from other jurisdictions, where required.

- Participation in trainings, development related activities and other initiatives of the department.

- Provide advisory to business and other functions on contractual obligation and other corporate compliance procedures.

- Providing effective solution to any legal issues for business and other functions.

- Handling litigation and if required liaise with any external attorneys to support in any dispute resolution.

- Consolidation of knowledge by creating process documents and updating templates.

- Effectively maintain and implement CLM tool for the organization and manage Contract lifecycle.

- Support and handle audit processes for the organisations.

JOB REQIREMENTS :

- In-depth knowledge of legal and regulatory frameworks relevant to the industry.

- Strong understanding of risk management principles and experience in developing and implementing risk mitigation strategies.

- Ability to develop and implement compliance policies and procedures to ensure adherence to applicable laws and regulations.

- Excellent verbal and written communication skills to effectively interact with stakeholders, including senior executives, legal professionals, and external stakeholders.

- Proficiency in analyzing complex legal and compliance issues, identifying potential risks, and providing strategic recommendations.

- Demonstrated ability to work collaboratively across departments to ensure a cohesive approach to legal and compliance matters.

- Knowledge of SOX audit procedures to assess organizations compliance with internal policies and contractual obligation.

- A strong commitment to upholding ethical standards and promoting a culture of integrity and compliance within the organization.
