Responsibilities:

- Leadership in Board Meeting Preparation: Oversee the preparation of comprehensive agenda papers and accurate minutes for board meetings and committee sessions.

- Ensure the timely distribution of materials to board members, facilitating informed discussions and decision-making.

- Active Participation in Board Functions: Attend board meetings and committee sessions, providing strategic guidance and support to board members.

- Foster an environment conducive to effective communication and collaboration among all stakeholders.

- Regulatory Intelligence and Advisory: Serve as the primary point of contact for regulatory matters, staying abreast of industry developments and their potential impact on the company.

- Provide insightful analysis and recommendations to the Board of Directors to navigate regulatory challenges and seize opportunities.

- Strategic Coordination with Management: Drive alignment between the executive management team and the Board of Directors by facilitating seamless communication and collaboration.

- Act as a conduit for conveying management's perspectives, initiatives, and concerns to the board, and vice versa.

- Adaptive Leadership and Task Execution: Undertake any additional responsibilities delegated by the Board of Directors, demonstrating adaptability and resourcefulness in addressing evolving business needs.

- Leverage extensive experience in finance and financial services to provide specialized guidance and support as required.

- Risk Oversight and Mitigation: Lead efforts to identify, assess, and mitigate risks inherent to the company's operations and governance structure.

- Collaborate with internal stakeholders to develop proactive risk management strategies and ensure alignment with organizational objectives.

- Champion of Corporate Governance Excellence: Uphold and promote corporate governance best practices, fostering a culture of integrity, transparency, and accountability throughout the organization.

- Oversee the implementation of governance frameworks and policies to mitigate risks and enhance shareholder value.
