Senior Manager - Company Secretary & Finance
Key Responsibilities:
Legal & Secretarial:
- Handle Compliance required under the Companies Act 2013, FEMA Regulations, ESOPs etc.
- Convening of meetings of Board / Committees / Shareholders.
- Preparation of minutes/ agenda in accordance with Secretarial standards and Companies Act.
- Maintaining and updating statutory registers in accordance with Companies Act.
- Keeping the Board Members informed of their Legal responsibilities.
- Ensuring that the company and its directors operate within the specified legal framework.
- Timely filing of forms, applications and returns with ROC, MCA, RD, RBI (including FEMA) and other applicable Statutory authorities including obtaining approvals, if any.
- Formulating /Amending the Memorandum and Articles of Association
- Monitoring changes in relevant legislation and the regulatory environment and taking appropriate action.
- Advising on provisions relating to the Companies Act, RBI Regulations, FEMA regulations and other corporate Laws.
- Managing regulatory investigations and cases/proceedings
- Hands-on experience in drafting, formulating, and revising Policies and procedures, code of conduct, compliance manuals etc.
- Assisting Statutory and Internal audit for smooth audit process.
- Experience of handling legal matters - Contracts, MoUs, Vendor Agreements, NDAs, Litigation Management.
- Co-ordination with other external regulators and advisers, such as Bankers, Lawyers, and other Stakeholders.
Finance and Reporting:
- Own the Company Trial Balance - Analyze each GL forming part of Trial Balance and have control on the same.
- Responsible for month end closing activity and preparation of annual financial statements as per IndAS/IFRS.
- Prepare and release standard cost for new products.
- Responsible for creating/ maintaining the costing masters (cost/profit center) and ensure periodic clean up to eliminate redundant master data.
- Perform actual costing run and inventory valuation with monthly verification and analysis.
- Preparation of actual Capacity utilization with compare with budget.
- Calculation of Machine hour rate based on actual process.
- Interact with Production to ensure Bills of Materials (BOM) are accurate and up to date.
- Review and audit BOMs to ensure they reflect the latest manufacturing practices and ensure rates are appropriate and are kept updated with changes in the business.
- To co-ordinate for inventory physical verification, investigate variances and resolve issues.
- Workings with production/ stores team to identify, locate and dispose of obsolete inventory.
- Calculation of various key financial ratios such as IRR / Payback Period/ DSI/ DSO/DPO.
- Prepare monthly forecasts and presents finance reports & metrics, communicating critical financial matters to leadership.
- Prepare and review budget vs actuals.
- Long term cash flow forecast and planning.
- Create additional analyses and reports as requested by management.
Skills & Requirements:
- Prior experience for independently conducting Board Meetings, General Meetings and Committee Meetings both through Physical and Audio-Visual Mode.
- Adept in setting up good corporate Governance practices.
- Should be able to work in a very fast-paced environment.
- Strong experience in Costing and Finance in a Manufacturing unit
- Strong SAP background and proficiency in Excel, Word, Power Point
- Strong work ethic - sense of urgency and ability to prioritize requests; ability to multi-task and to work efficiently under pressure to meet deadlines while producing timely and accurate deliverables.
- Ability to understand complex data and to work in a dynamic, fast-paced, demanding environment with time constraints.
- Eagerness to accept diverse responsibilities and receptiveness to change.
- Ability to work both independently and within a group environment.
- Ability to work collaboratively with cross-functional teams and external counsels.
