Job Designation: Senior Manager / Chief Manager - Legal - Structured Finance

Qualification: LLB

Experience: Min 6 years it shall include minimum on continuous basis 3 years- experience of handling lending transaction, drafting, finalizing and executing facility and security documents, ensuring compliance for the same

Job Purpose:

- To render legal advice to business team and client with respect to corporate finance, LAS transaction, structured finance, project finance, by way of loan/issue of non-convertible debentures.

- Also Advising on restructuring of stressed assets and developing strategy for recovery;

- Drafting, negotiating and closing various transaction documents with respect to loan or investments in non-convertible debenture;

- Drafting and finalizing the compliance for the transaction;

- Conducting corporate due diligence for the transaction and flagging issues if any;

- Familiarity with company act, SEBI and RBI regulations, TP Act, Contract Act, Registration Act, Stamp Act, FDI norms and advise on day to day issues relating to the same;

- Handle banking and NBFC related litigation including recovery of debt by way of enforcement of securities;

- To advise on the structure of deal and security in the light of due diligence and applicable laws relating to such transaction;

Managerial Responsibilities:

- Display leadership quality and takes an active role in fostering teamwork among the team and provide goal to deliver and achieve;

- To Supervise the work of subordinates and ensure closure of transaction as per timelines

- Ensure compliance are receipt for the transaction and preparation of MIS for the group

- Knowledge sharing and development with all team member as well as business.

- Organize and give presentation on the laws applicable to banks/ financial institution and non-banking financial companies related deal to business team.

- Develop team down the line in the process and other aspect of responsibility to be discharged and delivered in the interest of organization.

Functional Responsibilities:

- Finalizing structure and the term sheet for funding transaction related to Corporate Finance/Structured Finance

- To manage multiple priorities ensuring deadlines are met.

- Provide legal advice to business and management related to various transactions.

- Appropriately apply legal knowledge and experience relevant to the transaction, deals and other subject matters which brought out to us for our view and opinion;

- Draft, Negotiate, Finalize transactions documents and compliance.

- Prepare notices, Prepare and finalize the litigation papers with the advocates.

Functional Competencies:

- Experience and knowledge of banking and finance laws, recovery laws, land laws, laws relating to mortgage and pledge specifically

- Companies Act, TP Act, CPC, Contract Act, SEBI and RBI Regulations, DRT, SARFAESI

- Familiar with new changes/amendments with respect laws as well as recent judgments relating to financing and enforcement of various types of securities.

- Having good documentation and negotiation skills.

- Experience in structuring, drafting, negotiating and finalizing the transaction documents for financing and investments.

- Knowledge of various laws and procedure relating to recovery, matters relating to cheque bouncing and enforcement of securities.

- Should be able to analyse the legal risk in transitions and provide mitigants.
