Designation: Sr. Manager / AVP - Transaction Advisory

Location: Santacruz (West), Mumbai.

We are looking to hire a candidate with excellent experience in Transaction Advisory Services, Valuation, due diligence etc.

Here are a few Responsibilities the candidate will possess:-

1. Actively engage in the review of financial projections, financial model and valuation for the transaction advisory assignments.

2. Understanding the business, competitive positioning, strengths, weaknesses, opportunities, challenges etc. of the target company.

3. Drafting vetting and executing transaction documents, namely share purchase agreement/share transfer agreement, term sheet, MOU for and between Investors, investee companies and promoters.

4. Ensuring compliance for the transaction under

- SEBI (Substantial Acquisition of Shares and Takeovers) Regulations, 2011

- SEBI (LODR) Regulations, 2015

- SEBI ( Prohibition of Insider Trading) Regulations, 2015

- SEBI (Foreign Portfolio Investors) Regulations, 2014

- Stock Exchange's listing requirements

5. Overseeing transaction process including board meetings of the investee, their disclosures and their intimation to the stock exchanges

6. Appointment and overseeing custodial services, banking transaction of investors and escrow accounts for facilitating the transaction

7. Identification of deal issues, assessing their impact on the transaction (valuation etc.) and advising on ways to address the issues.

8. Analysis of transaction risks and ways to mitigate them.

9. Understand transaction structure and advise on structuring issues

10. Discussing observations and effectively closing the loop with Target companies/clients.

11. Writing due diligence reports/preparing management presentations.

Salary Budget: Open Candidates who can take up the role immediately will be preferred
