Job Description: - Essential Responsibilities:. - Listed entity governance/Compliance management. - Compliance with all the Governance related laws, viz Companies Act, Securities laws, Listing Regulations, Insider Trading Code, etc. - Advising the Board of Directors on Governance matters. - Managing unlisted India LEs as may be entrusted from time to time. - Convening shareholders meetings, Board meetings and various Committee meetings, preparation of Agenda and minutes. - Preparing Annual Report. - Overseeing Shareholder services. - Representing the Company and interacting with Stock Exchanges/ SEBI/MCA/ROC/NSDL/CDSL. - Interacting with the Board, Internal departments, and various auditors for the smooth functioning of the Secretarial department. - Maintaining statutory records, timely filing of required forms/returns with statutory authorities. - Managing CSR projects/activities.
