Responsibilities :
- Serve as the first point of contact in India region for the VP Global Legal Affairs, (located at headquarters in Morris Plains, New Jersey) and, working with the other members of the Law Department, deliver legal services in a timely and effective manner across the region.
- Analyze and advise on all legal and regulatory issues relating to commercial and contract law, HSE, intellectual property, leasing, licensing, corporate compliance, foreign investment, labor & employment, M&A, product liability, anti-trust, etc.
- Acting on matters of strategic importance, such as the establishment of strategic alliances, the acquisition, licensing, and protection of key intellectual property assets, establishment of new manufacturing sites and legal entities (incl. negotiations with governmental authorities) and risk/opportunity analysis of potential transactions.
- Serve as lead counsel for business acquisitions, divestitures and joint ventures, including formulation of deal structures, identification and analysis of potential legal risks, negotiation of definitive agreements and participation in integration process.
- Serve as supervisor of joint ventures in the region.
- Manage litigation for and against and direct dispute resolution efforts and alternate strategies.
- Manage external counsel for referred matters in India region.
- Oversee the contract review and management function. Draft, negotiate and manage legal documentation for a broad range of commercial transactions (including customer sale agreements, supply agreements, service agreement, strategic alliance agreements, distribution agreements, agency agreements, joint development agreements, pricing agreements, consignment agreements, non-disclosure agreements, etc.).
- Conduct extensive preventive law training on a wide variety of topics, including competition law compliance, contracting excellence, protection of intellectual property, US Foreign Corrupt Practices Act, UK Bribery Act and Prevention of Corruption Act of India and workplace issues.
- Develop standardized processes and templates for the efficient delivery of legal services in the region and in support of the Law Department initiatives.
- Oversee integrity and compliance program, including internal investigations in coordination with Integrity & Compliance team.
- Provide employment law support, and advise in coordination with Asia Pacific Labor Attorney and outside counsel.
Qualification:
- Indian Attorney. Company Secretarial (FCS) or international law qualification will be an added advantage.
- At least twelve plus years of relevant experience with major law firm and/or corporation as an attorney. Strong experience in managing a team of attorney/s and legal staff.
- Strong multinational business transactional experience, including business acquisitions, dispositions and joint ventures as well as commercial agreements. Transactions negotiation experience in Oil and Gas industry will be an added advantage.
- Experienced in conflict resolution at the pre- and post-litigation stages of dispute resolution.
- Strong intellectual capacity and high personal standards of excellence.
- Personal presence, communications skills and credibility necessary to effectively interact with and influence senior management.
Integrity and good judgment are extremely important.

- Ability to work independently and aggressively drive key initiatives at a distance from direct supervisor.
- Interest and ability to teach and to motivate business people in legal issues affecting business transactions.

- Self-motivated, dedicated team player who will take a proactive approach in managing and seeking to continuously improve internal legal function.
- Willingness to travel 20% of time.
