Senior Manager/AGM - Mergers & Acquisitions
Role & responsibilities :
Deal Sourcing :
- Identify potential acquisition targets in financial distress through market research, industry networks, financial databases and through various auction platforms.
- Develop and maintain a pipeline of potential acquisition opportunities in consultation with the senior management through the above-mentioned sources.
Due Diligence :
- Conduct commercial due diligence to evaluate the potential in the deal especially considering regulatory impacts and any post-acquisition costs.
- Assist in coordinating detailed due diligence efforts, including financial, legal, and operational assessments of potential targets.
Valuation and Deal Structuring :
- Perform valuation analysis (through historical data) and develop financial models to determine the feasibility and profitability of potential acquisitions taking into account the present prevalent situations concerning to marketability and demand.
- Assist in structuring deals, including negotiation of terms and conditions with target companies and key stakeholders.
Stakeholder Management :
- Manage relationships with internal and external stakeholders, including target company management, legal advisors, financial institutions, and regulatory bodies.
- Communicate effectively with senior management to provide updates and recommendations on M&A activities.
Transaction Execution :
- Execute, maintain and oversee the entire transaction process end to end ensure relevant documentation is complete and liaison with regulatory departments to ensure all approvals are obtained.
- Manage post-acquisition integration or dismantling of acquired entities, ensuring alignment with strategic objectives and operational efficiencies in a timely and cost effective manner.
Strategic Planning :
- Develop and implement M&A strategies aligned with the company's growth objectives and market opportunities.
- Monitor industry trends and competitive landscape to identify potential M&A opportunities and threats.
Preferred candidate profile :
- Bachelors degree in finance, business administration, economics, or related field.
- MBA or other advanced degree is preferred.
- Minimum of 3 years of experience in M&A, corporate finance, investment banking, or related field.
- Proven track record of successfully managing and closing complex M&A transactions, particularly with distressed assets.
- Strong financial modelling and analytical skills.
- Excellent negotiation and deal structuring abilities.
- Superior communication and interpersonal skills.
- Ability to manage multiple projects and deadlines in a fast-paced environment.
- Proficiency in using auction platforms, financial databases and tools.
- High level of integrity and professional ethics.
- Strategic thinker with strong problem-solving skills.
- Detail-oriented with a commitment to accuracy and quality.
- Ability to work independently and as part of a team.
