President (HEAD) - Company Secretary (Corporate Group)
To provide a Company Secretarial service to the Co's Group and its operating companies. Committee members receive the support and advice necessary for them to discharge their duties.
Committee and Board Services :
- To ensure the effective servicing of a number of Group and/or operating company Boards,Committees and associated meetings. This will include summoning meetings, preparing agenda, collating papers and ensuring the timely distribution, attending meetings, preparing minutes and follow-up act plans.
- To monitor follow up action taken after the meetings, and maintain a roll agenda.
- To maintain Board and Committee records including papers, minutes, indices of reports considered and of delegated authorities.
- To organise annual and extraordinary general meetings.
Member Services :
- To develop a close working relationship with Chairs and Members for designated boards.
- To act as first point of contact for these Chairs and Boards in all matters relating to governance and company secretarial work.
- To manage the process for appointments and elections of Board and Commit members.
- To develop and maintain good relations and contact with key executives and managers who provide reports to the Boards/ Committees.
Company Secretarial :
- To lead on and be responsible for at least one area of compliance or work theme - examples include data protection, equality & diversity, Resmancos, legal services.
Record Keeping & Compliance :
- To be familiar with governing instruments of the group and operating companies and advise on them.
- To monitor the activities of the Companies Group and Operating companies to ensure that they act within their constitutions, standing orders and other regulatory requirements.
- Ensure compliance with statutory requirements and governance best practice.
- To assist in the Preparation of Annual Reports and Statutory Returns.
- To assist in maintenance of Statutory Records & Registers.
Other :
- Preparation of reports as required by the role.
- Such other duties as may from time to time allocated by the Board.
- Take a flexible approach to relevant issue's and act promptly to ensure situations are dealt with appropriately and effectively.
No job description can cover every issue which may arise within the post at various times and the post holder is expected to carry out other duties from time to time which are broadly consistent with those in this document.
Qualification, Experience & Skill Sets :
- ACS with 20 Plus years of Experience with a Leading Industrial Conglomerate or an MNC in the Secretarial Activities.
- Understanding of committees and decision-making forums
- Excellent communication skills at all levels and confidence to be able to respond clearly to queries and questions.
- Essential qualities include a keen eye for detail; the ability to assimilate and handle a large volume of information strong team player with good inter-personal skills and a professional manner; good organisational skills.
- The successful candidate will be expected to hit the ground running during the busiest period of work for the Company Secretariat, and to responsibility for boards/committees meeting.
