- Corporate Governance: Ensure the company's governance framework aligns with statutory and regulatory requirements, including compliance with Companies Act, SEBI, and other relevant regulations.
- Board Meetings: Prepare and organize board meetings, including drafting agendas, preparing minutes, and coordinating board papers. Assist in drafting resolutions and tracking implementation of board decisions.
- Regulatory Filings: Manage regulatory filings and ensure compliance with corporate obligations, such as annual returns, declarations, and filings with ROC, SEBI, and other authorities.
- Legal Compliance: Maintain the company's compliance calendar, ensuring timely compliance with statutory obligations. Liaise with external consultants and legal advisors on regulatory matters.
- Stakeholder Management: Act as the primary point of contact for shareholders and regulatory bodies. Respond to shareholder inquiries and manage communications regarding general meetings, dividends, and share transfers.
- Risk Management: Identify and monitor risks related to corporate governance and regulatory compliance. Develop internal policies and guidelines to mitigate these risks.
- Documentation & Records: Maintain statutory registers, company records, and other important documents as per legal and organizational policies. Oversee the archiving and retrieval of corporate documents.
- Advisory Role: Provide advice on corporate governance matters to the board and senior management. Stay updated on changes in relevant laws and ensure management is informed of new legal and regulatory developments.
- Other Duties: Assist with due diligence processes as needed. Support internal audits and respond to audit findings in relation to compliance areas.
