Job Summary:
- Lead & strengthen the Corporate Legal team and deliver on all the Corporate legal matters
- Selecting & maintaining relationships with external legal counsels, getting the work done on documentation of various transactions related to borrowing (NCDs, Securitization, Direct Assignments, NCDs, term Loans etc.), agreements with lenders, GID, KID, IMs etc.
- Legal negations with vendors, lenders, legal counsels, shareholders etc. to ensure best outcome for the company,
- Get company ready for IPO from legal perspective and work with Legal Counsels to IPOs on launch,
- Drafting and reviewing of vendor agreements, loan agreements, Show Cause Notices to vendors/employees etc., MOU's, indemnity documents, commercial contracts and other legal documents etc,
- Maintain and keep the Legal System (Contract) updated with all the agreements, renewals and closure on time,
- Ensuring compliance to RBI regulations concerning NBFC's, FEMA etc. in all the legal agreements and documents. Do the risk assessment whenever there is changes in regulation and implement in all the legal documents,
- Risk Control Self Assessment (RCSA) for the legal function and updating the framework on regular basis to mitigate all the legal risk,
- Manage the legal audits and due diligence. Work proactively to avoid any observations in the Corporate Legal related matters,
- Creates and reviews legal policies within the defined legal frameworks,
- Proactively advising management on legal and commercial risks associated with transactions, proposing suitable risk mitigating actions and work as partner with various functions
- Provides day to day advice, expert legal counsel and support to the business from the legal and regulatory perspective
- Keep a watch on emerging laws and prepare the relevant functions ahead of incoming laws.
Qualification & Experience:
- LLB (mandatory)
- Minimum 12 + years of relevant work experience in Corporate Legal matters and recent experience in Corporate Legal Function of an NBFC or Bank
- Experience in Equity Raise and IPO project is preferable.
Skills Set:
- Excellent communication and articulation skills and experience of having worked independently with senior management teams and external legal counsels.
- Good drafting and presentation skills.
- Person of high integrity with experience of building and managing high potential team,
- Ability to multi-task, prioritize, set and meet timelines
- Ability to build and manage relationships and inspire the trust of stakeholders.
