Monocept is seeking a qualified and dynamic Company Secretary to oversee the company's statutory, legal, and governance requirements. The ideal candidate will have 2-3 years of postqualification experience and a solid understanding of corporate governance and compliance, particularly in an IT services environment. You will ensure that Monocept adheres to all legal and statutory obligations while supporting senior management in key corporate governance matters.

Key Responsibilities:

1. Corporate Governance & Compliance:

- Ensure compliance with the Companies Act, 2013, Shops and Establishments Act, SEBI regulations, and other applicable laws.

- Oversee the timely filing of all statutory forms, returns, and documents with the Registrar of Companies (RoC).

- Maintain statutory registers, records, and ensure proper documentation of board meetings and AGMs.

- Ensure the company's policies and procedures align with legal and regulatory standards.

2. Board & Shareholder Meetings:

- Organize and prepare notices, agendas, minutes, and resolutions for Board Meetings, General Meetings, and Committee meetings.

- Attend meetings to provide advice on governance, compliance, and legal matters.

- Liaise with directors, shareholders, and stakeholders regarding corporate legal affairs

3. Contract Management:

- Review, draft, and negotiate IT service contracts, NDAs, and other agreements.

- Manage and monitor contract renewals and ensure compliance with contractual obligations.

4. Statutory Filings & Documentation:

- Handle MCA (Ministry of Corporate Affairs) filings, including annual returns, financial statements, and other necessary documents.

- Ensure secretarial and legal documentation is maintained and easily accessible.

5. Risk Management & Legal Advisory:

- Advise management on corporate governance, risk mitigation, and compliance matters.

- Collaborate with external legal advisors when needed on critical legal issues.

6. Stakeholder Communication:

- Act as the point of contact for all regulatory bodies, investors, and external stakeholders.

- Handle any corporate restructuring or compliance-related communication as needed.

Candidate Profile/Qualifications:

- Mandatory: Associate/Fellow Member of- ICSI (Institute of Company Secretaries of India).

- Bachelor's degree in- Law, Commerce, or any relevant field.

- 2-3 years of post-qualification experience in a company secretarial role, ideally within the IT services/consulting industry.

Key Skills & Competencies:

- Strong understanding of- Companies Act, 2013- and other relevant regulations.

- Experience in handling- RoC filings, compliance, and corporate governance.

- Proficiency in- contract management, particularly in IT services or similar fields.

- Ability to provide clear and concise legal advice to senior management.

- Excellent communication, organization, and attention to detail.

- Proactive, self-motivated, and able to handle multiple tasks simultaneously.

Preferred:

- Experience with IT or tech-driven companies.

- Knowledge of domestic and international compliance standards, particularly for IT consulting firms operating in domestic markets.
