About the Role
As a Sr Associate - Company Secretary & Legal, you will be responsible for advising on Corporate Governance, Board and Shareholders related matters, ensuring statutory compliances, getting the company IPO ready, handeling the due diligence processes and dealing with the internal stakeholders and external stakeholders / authorities / regulatory bodies, Intermediaries, drafting and reviewing of governance policies, charter documents, offer documents, Boards Report, Annual Reports.
What you will do
- Handle Corporate Secretarial Matters, IPO readiness and FEMA related compliances.
- Independently able to manage the due diligence process and liaison with the RBI, ROC, SEBI, NSE, BSE, RTA, Depositories.
- Independently able to manage Board Meetings, General Meetings, Committee Meetings.
- Handling of ESOPs, Cap Table, Audits & Shareholders related matters.
- Independently able to ensure timely reporting of all statutory compliance within the timelines.
- Advising on the best governance practices and ensuring adherence to the applicable laws and regulations.
- Oversee and ensure timely compliances with the statutory and regulatory requirements as applicable to the Company and its subsidiaries.
- Drafting of Board and General Meeting Agenda, Minutes, Directors Report, Annual Report Policies, Governance documents etc.
What you will need
- Qualified Company Secretary with 2-3 years of PQE in company secretarial matters.
- Hands on experience with the IPO readiness, process, due diligence and related corporate governance and compliance practices.
- In depth knowledge and understanding of Companies Act 2013, FEMA, regulations, SEBI regulations.
- Willing to work under tight timelines with minimal supervision and able to manage multiple priorities.
- Experience with M&A and PE will be a plus.
- Possess an analytical and strategic minds.
