Senior Manager - Legal
The role involves leading a small team of legal professional and manage the Legal function for Maveric Systems. You will play a critical role in providing legal guidance and support across various aspects of our business operations. Your primary responsibility will be to negotiate commercial contracts with our customer and vendors. Ensure compliance with relevant laws and regulations while also mitigating legal risks. You will work closely with internal stakeholders to address legal issues related to contracts, intellectual property, data privacy, and regulatory compliance. Additionally, you will help to develop and implement corporate policies and procedures to safeguard the company's legal interests. The role reports to the CFO.
Key Job Responsibilities include.
Contract Management:
- Draft, review, and negotiate a wide range of contracts, including client agreements, vendor contracts, service level agreements, and partnership agreements.
- Ensure that contracts comply with legal requirements and company policies and negotiate favorable terms and conditions.
Legal Compliance:
- Stay informed about relevant laws, regulations, and industry standards affecting the IT services Industry.
- Provide guidance to ensure the company's compliance with applicable laws and regulations, including data privacy laws, intellectual property laws, and employment laws.
- Work along with Governance Risk and Compliance (GRC) team to develop and implement compliance programs and procedures to mitigate legal risks.
Dispute Resolution:
- Assist in resolving disputes and litigation, including managing external counsel when necessary.
- Participate in alternative dispute resolution mechanisms such as mediation and arbitration.
Data Privacy and Security:
- Advise on data privacy and security laws and regulations, including GDPR, CCPA,DPDP Act and other relevant frameworks.
- Work with internal teams to ensure compliance with data privacy requirements and develop data protection strategies.
- Respond to data breaches and security incidents, including managing legal obligations and liaising with relevant authorities.
Intellectual Property Protection:
- Manage intellectual property matters, including trademarks, copyrights, and patents.
- Conduct intellectual property assessments and advise on strategies for protecting company assets.
- Assist in resolving intellectual property disputes and enforcing the company's intellectual property rights.
Risk Management:
- Identify legal risks and propose strategies for mitigating those risks.
- Conduct legal research and analysis to assess the potential impact of regulatory changes on the company's operations.
- Develop and implement risk management policies and procedures.
Qualifications:
- Bachelor's degree in Law (LLB) required; additional qualifications such as an LLM or JD preferred.
- 10 - 12 years of experience in corporate law, with a focus on commercial transactions, technology law, or related fields.
- If experienced with practice of law previously would be an added advantage
- Experience working in the IT services industry or a similar sector preferred.
- Strong understanding of contract law, intellectual property law, data privacy laws, and regulatory compliance requirements.
- Excellent negotiation skills and the ability to draft clear and effective legal documents.
- Strong analytical and problem-solving abilities, with a proactive approach to identifying and addressing legal issues.
- Excellent communication skills, with the ability to effectively interact with internal stakeholders and external parties.
- Ability to work independently and manage multiple priorities in a fast-paced environment.
