Manager/Senior Manager - Compliance - NBFC

We are looking for a Manager / Senior Manager - Compliance for a well-established NBFC. The positions will be based at Mumbai.

Job Description:

RBI (NBFC & FEMA) Compliances:

- Ensuring RBI compliances applicable to NBFCs (RBI Master Directions on NBFC-ND-SI, KYC Directions and other Directions, Circulars, etc)

- Handling regulatory communication, queries and inspections conducted by RBI.

- Compliance with RBI FDI Guidelines, Filing of Returns with RBI under FDI Guidelines.

- Routine and Adhoc filings / submissions with RBI.

- Drafting and Implementation of Policies and Codes applicable to NBFCs.

- Handling process and documentations for lending business of NBFC.

- Compliance Calendar, Analysis of RBI Circulars and preparing the gist and implementation thereof.

Governance & Corporate Law

- Conducting of Board, Committee and General Meetings.

- Drafting of Notice, Agenda and Minutes for the Meetings.

- Compliance with Shareholders Agreement entered with Strategic Investor (FDI)

- Analysis of doability / feasibility of Transactions in accordance with the Regulatory Framework (RBI, SEBI, Corporate Laws, FEMA).

- Liasioning with regulatory agencies viz. SEBI, RBI, ROC and Stock Exchanges

- Framing and implementing ESOP schemes.

- Annual Report

- Preparation and Filing of various Forms with RoC.

- Fund raising - by issue of Commercial Paper, NCDs, etc. Compliance with the

CANDIDATE PROFILE:

- Candidates should be qualified Company Secretary with between 5 to 10 years relevant experience.

- Candidates should have experience in NBFC Compliances.
