We have been mandated for the below mentioned position by a large global conglomerate in Stainless Business.
Position Name: Company Secretary- Manager / Sr. Manager
Location: Andheri Mumbai
Qualification: CS + LLB
Experience : 10 + Years
- Purpose of the role: To be responsible for Collection, creation & maintenance of data for various periodic filing of E-forms on including Annual Filing.
Domain Knowledge :
- Candidate should be from Manufacturing Industry with Stability,.
- Individually Handling CS Department
- Well versed with Factory Act including compliance of Factory, CS and banking documentation
- Candidate should have worked in Limited company/Listed company.
- Added advantage if candidate have worked on Compliance software.
Roles & Responsibilities:
- Compliance Related to physical conduction of Annual General Meeting, Extra ordinary General meeting, Board meeting & CSR Meeting Preparation of Notice, Agenda, Resolution, Annexures for
- Meeting, recording & signing of Minutes of Meeting and filing of various eforms on MCA.
- Collection, creation & maintainance of data for various periodic filing of E-forms on including
- Annual Filing of and other regular and event based forms (ADT-1, ADT-3, AOC-4, MGT-7, BEN-2, MGT8, CHG-1, CHG-4, CRA-2, CRA-4, DIR-3KYC, DIR-12, DPT-3, MGT-14, (for each resolution passed by Board need to register), MR-3, MSME etc).
- Candid Filing of RBI Annual Performance Report (APR), Foreign Laibility & Assets (FLA), Overseas.
- Direct Investment (ODI), FCTRS (Transfer of Shares from Resident to Non resident or vice versa), FCGPR with AD Banker under FEMA Compliances.
- Correction, Transfer, Transmission of Shareholders
- Reconstituion of Companies
- Reconstituion of LLP
- Merger of Companies
- Ensuring Company Law Compliances & FEMA Compliances
- Collection of data and arranging data for Secretarial Audit & following up for issuance of Report for VPPL
- Conduction, coordination and preparation of & following up for issuance of various Reports under the Companies Act 2013 and FEMA
- Preparation & Review of Board Report, Director Report & Annual Reports
- Maintenance of all statutory/ non-statutory books, registers, and records.
- Redressal of queries of investor/Shareholders, Government Departments like (MCA, CRC, ROC,
- Audit Department etc), drafting of reply along with relevant documents/evidence and resolving the query.
- Collection of data and arranging data for RBI Due Diligence Report for every half year
- Collection of data and arranging data for Search Report for every half year or when demanded bybanks.
- Visits and liaising with government department (MCA, CRC, ROC etc) for approval of various Eforms.
- Drafting, Vetting and reviewing contracts and agreements, handling contractual disputes, dealing with issues raised with Clients,
- Coordinating and arranging Financial details and other all details of the company for all the above mentioned companies and LLP for filing purposes at MCA, RBI as and when requested by Consultants.
- Any compliance, Secretarial and Legal matters further to the above mentioned as and when applicable to the group.
