Job Description:

As a Company Secretary with listing experience in our EPC company, you will be responsible for overseeing various corporate governance and compliance aspects to ensure the company's smooth operation within the regulatory framework. Your role will include:

1. Corporate Governance:

- Providing guidance to the board of directors on corporate governance practices.

- Ensuring compliance with the company's Articles of Association, Memorandum of Association, and other applicable laws and regulations.

- Maintaining records of board meetings, resolutions, and minutes.

2. Regulatory Compliance:

- Ensuring compliance with all relevant laws, regulations, and stock exchange requirements.

- Keeping abreast of changes in legislation and advising the board accordingly.

- Preparing and submitting regulatory filings, including annual reports, financial statements, and disclosures, to relevant authorities and stock exchanges. (SEBI compliances)

- Online MCA Filing and maintaining the end to end filing.

3. Shareholder Relations:

- Managing communication with shareholders, responding to their queries, and facilitating shareholder meetings.

- Assisting in the organization of the annual general meeting (AGM) and other special meetings.

- Maintaining the company's share register and ensuring accurate record-keeping of share transactions.

4. Listing Compliance:

- Managing and ensuring compliance with stock exchange listing requirements.

- Preparing and submitting timely reports to stock exchanges.

- Coordinating with external advisors, auditors, and legal counsel to address listing-related matters.

5. Board Support:

- Assisting the board of directors in their duties, including the induction and training of directors.

- Providing guidance on corporate governance best practices and regulatory changes.

- Managing the process of appointing, retiring, or removing directors.

6. Legal and Secretarial Documentation:

- Drafting and reviewing legal documents, contracts, and agreements.

- Maintaining and updating the company's statutory records and registers.

- Advising on legal and compliance matters to protect the company's interests.

7. Risk Management:

- Identifying and assessing legal and regulatory risks and proposing mitigation strategies.

- Collaborating with the risk management team to ensure comprehensive risk oversight.

Qualifications and Requirements:

- A qualified Company Secretary with 8 + years of relevant certifications and membership in the professional body and an LLB degree would be an added advantage

- Proven experience as a Company Secretary in an EPC / reputed company with listing experience.

- In-depth knowledge of corporate governance, company law, and regulatory requirements.

- Strong communication, interpersonal, and problem-solving skills.

- Attention to detail and the ability to work under pressure.

- Familiarity with EPC industry practices is a plus.

- Understanding of financial and accounting principles.

- Proficiency in relevant software and tools for documentation and compliance management.
