Hiring for Manager/ Senior Manager Company Secretary for Large Business Conglomerate based in Mumbai. Must have experience in secretarial operations, drafting skills, companies act. Experience - 10 Years - 13 Years. qualification - B.Com, LLB, CS.
Please find below the Job Description
1. Company Secretary or group companies.
2. Assimilation & Monitoring of Subsidiary Compliance Status & and Reporting any exception/ non-compliance to the management.
3. Scrutiny & filing of various Forms/ Returns/ applications etc. with various authorities eg.- RoC, Stock Exchange, RBI, NSDL etc.
4. Handling and conducting Board/Audit/Committee meetings and coordinating with directors/senior management.
5. Handling formalities relating to issue of shares and relevant documents to be submitted with depositories.
6. Drafting of Agenda, minutes, policies, resolutions, letters and other documents for Board, Audit, general and Committee meetings.
7. Supervision & Maintenance of various Statutory Registers & Records.
8. Co-coordinating with different departments for assimilation of data required for maintenance of various statutory records.
9. Monitoring of any changes in applicable corporate laws & taking appropriate steps to ensure its due compliance.
10. Handling Secretarial, Statutory, and Internal Audit in coordination with Auditors.
