- Should have good knowledge of Companies Act 2013, SEBI- Listing Obligations and Disclosure Requirements, ESOP Guidelines, Agenda and Agenda Papers drafting, Board Meetings, Annual General Meetings, Insider Trading Regulations, Interaction with Stock Exchanges, FEMA Compliances.
- The candidate should have practical experience of handling various Compliances under the Companies Act and Listing Obligations, more particularly:
- Handling compliances under SEBI Listing Regulations, 2015, inter alia, including quarterly/half-yearly/ annual and event based filings with stock exchange, ensure compliance of corporate governance norms, updation of website, etc, Completing all BSE/NSE approval formalities, Closing all allotment and listing formalities.
- Compliances under SEBI (Prevention of Insider Trading) Regulations, inter alia, including tracking shareholding of employees, monthly reports, initial/annual/periodic/continual disclosures, etc.
- Handling ancillary matters viz. ESOP, dividend, FEMA Compliances etc.
- Compliances relating to Companies Act and, Secretarial Standards, inter alia, including filing of returns/ forms with ROC, facilitating Secretarial Audit, maintaining statutory registers, etc.
- Preparation of Agenda & Notices of Board, Committee & General Meetings and follow up on action points and hands-on experience of managing general meetings, corporate board and Committee meetings.
- Preparation and dispatch of Annual Report of Listed Company, Postal Ballots, General Meeting notices.
- Reviewing documentation pertaining to the Directors appointment, annual disclosures, etc.
- To legally examine the various Circulars/ Notices issued by MCA/ RBI/SEBI/Stock Exchanges
- Addressing various shareholders' queries/requests and building and managing relationships with them, Dealing with Registrar and Transfer Agent.
Qualification - ACS and LLM or LLB
Prior Experience - Prior experience 7-11 years post qualification experience.
