Manager - Legal - LLB

About the Role:

1. Drafting, negotiating, and reviewing of a wide range of commercial contracts (including NDAs, purchase orders, supply contracts, service contracts, EPC and O&M Contracts, MOUs , LOIs, and any other agreements).

2. Advice on corporate M&A or fund-raise transactions including acquisitions (whether by share purchase or business transfers) as well as joint ventures involving third parties with FDI.

3. Reviewing and drafting of debt/financing documents (including loan agreements, security trustee deeds, deed of hypothecation, indenture of mortgage, coporate gurantees, sponsor support and promoter undertakings, ISDA) and assess potential legal implications.

4. Manage the intellectual property portfolio of the Company.

5. Keep up-to-date with the latest developments in laws, regulations, and policies.

6. Liaise with external consultants or law firms on various routine matters.

7. Provide training and guidance to internal stakeholders on legal and compliance matters.

8. General legal support- assist other functions as and when required on various legal matters. Support on research and advising the business team on various regulatory issues associated with RE project development including issues under electricity act, renewable energy policy, captive regulations and the legal decisions of various courts relating to the commercial contracts and the sector.

9. Providing legal advice, including general commercial legal advice, and rendering legal support to the management and to all business units and corporate departments.

Candidate's Profile:

1. B.A L.L.B from an accredited law school in India.

2. Prior experience of working at a law firm or as an in-house counsel in the Energy sector.

3. Knowledge of relevant laws, regulations, and policies related to Companies Act, FEMA and the Energy sector.

4. Ability to work independently and as part of a team.

5. Ability to manage multiple priorities and meet tight deadlines.

6. Minimum of 5-6 years of experience in corporate law.

7. Presentable personality with good verbal & written communication skills.

8. High level of integrity & professionalism.

9. Ability to work in a fast-paced organizational environment.
