Position Summary/Mission:

- Drafting, negotiating, and reviewing agreements and various legal documents (e.g., non-disclosure agreements distribution contracts, partnership agreements, network agreements, service agreements, minutes of meetings notices, reports etc.)

- Managing, reviewing, and drafting all internal policies, corporate governance guidelines and procedures, customer policies, privacy policies, marketing material. Advertising guidelines, product terms and conditions etc.

- Offering legal advice and support to the business on various legal points related to business operations, licensing requirements, reporting requirements, and business expansion.

- Coordinating with external lawyers on legal opinions, litigation cases and regulatory audits.

- Dealing and liaising with authorities and regulatory bodies to ensure compliance with applicable laws and regulations.

- Ensuring compliance of the business with all applicable legal and regulatory requirements.

- Collaborating with internal and external stakeholders to ensure compliance with all AML, anti-bribery and sanctions rules and regulations.

- Supports the legal review of proposed advertisements and marketing materials to ensure compliance with local laws and company advertising guidelines.

- Carrying out the company secretarial duties and tasks of the company, including handling all board and general assembly meetings if the company.

- Ensuring all reporting requirements of the company are duly fulfilled.

- Advising the company on corporate governance matters

Fundamental Components & Physical Requirements:

- Experience in commercial contracts drafting and negotiation (in English).

- Very good verbal and written English skills.

- Experience or familiarity with all AML, anti-bribery, and sanctions regulations, such as FCPA, is a plus.

- A self- starter with an ability to work independently with some direct supervision within company guidelines and department policies.

- A good communicator with an ability to advice people on relevant legal matters

- Adaptable and flexible with an ability to effectively handle legal & regulatory matters, manage deadlines, set priorities, and find cost effective solutions.

- Ability to work with key business partners and put legal analysis in its proper commercial context in order to maximize business results.

- Ability to draft clear, professional and legally robust correspondence, contractual documentation, policies, commercials and other documentation.

- Strong organizational skills; demonstrated ability to handle multiple and changing tasks simultaneously.

- Ability to work in a changing environment.

- Ability to maintain confidentiality and/or sensitive business information

Background Experience Desired

- 7-10 years of experience as an attorney in a law firm or as a in house counsel, preferably in the healthcare/service or insurance industry

- Should have min 3 years of CS experience.

Education and Certification Requirements

- Appropriate legal qualification and admission to practice law in relevant jurisdiction.

- Any combination of relevant education and experience and / or related professional designations / certifications in this field is highly desirable.

- A certified company secretarial course
