Manager - corporate secretarial- Legal
Key responsibilities:
1. Assist in secretarial compliances of multiple entities;
2. Convene the Board Meetings;
3. Draft Board and General Meeting minutes and resolutions;
4. Thorough understanding of the Companies Act, Rules, FEMA Guidelines, etc.;
5. Good experience in legal due diligence and transaction services;
6. Filing/Reviewing necessary forms with FEMA, RBI, etc.;
7. Drafting and reviewing of legal documents;
8. Assist in M&A activities;
9. Maintain statutory books;
10. Co-ordinate with other functions;
11. Good understanding of financial statements and sectoral guidelines (PPI, IRDAI, Stock-broking);
Ideal candidate must have:
1. Membership with Institute of Company Secretaries of India
2. CS ., LLB degree, LLM will be an advantage
3. Experience of 5-6 years
4. Strong communication skills
5. Excellent drafting skills
6. Good eye for detail
7. Good research capabilities
8. Problem solving and analytical skills
9. Ability to multi-task and meet deadlines
10. Good team player
11. A high level of professionalism which is required on the job at all times
