Purpose of Role:

The Governance & Controls & Compliance Managers role is to ensure Sarbanes-Oxley s404 compliance through Diageo- sglobal CARM processes through leading a Team of Controls & Compliance Specialist(s)providing assurance to the Regional SSC LT and the GDBS LT that a robust control environment and exemplary compliance behaviour exists across the Regional SSC through embedding and operating Diageo's CARM process and Controls & Compliance agenda in line with Diageo's global standards.

The role is also responsible for owning and coordinating the local Regional SSC Risk Management Committee sessions and providing input into various global GDBS Leadership forums, including the GDBS Risk Management Committee - (through the GDBS Governance & Controls Director), driving the regional SSCCompliance &Ethics agenda and lead on the issues and emerging control and compliance themes related to the SSC under the role's remit.

Top 3-5 Accountabilities:

1. Ensure that the CARM/SOX cycle related activities are completed in the shared service center under GDBS umbrella in a timely and quality manner in line with requirements set out by the GDBS Governance & Controls Team's ( Budapest) governance guidance and in alignment with Global Diageo CARM guidelines. Ensure a robust CARM framework is embedded and maintained across the SSC for controls operated on behalf of serviced markets.

2. As Governance & Controls& Compliance Manager the person in rolewill champion Dageo's Compliance &Ethincs agenda across the SSC; interface into GDBS C&E Ambassador and other functions in the SSCon C&E matters, and oversee the compliance reporting processes/protocols to GDBS C&E Ambassador. Set standards for exemplary compliance behaviours across all levels of the Regional Shared Service Center.

3. Oversee effective and quality reporting of existing and emerging control and compliance issues and emerging themes regarding the SSC location to the GDBS Risk Management Committee through GDBS Governance & Controls Director.

4. Manage a wide array of senior stakeholders both in the SSC, GDBS, Global Process Governance Teams,Markets serviced by SSC, Diageo's Auditors, and also outside Diageo with whom effective, supportive and challenging business partnership relationships are essential in order to achieve the SSC- scontrols and compliance objectives and fulfil all the accountabilities of the role. In addition, act as a single point of contact on controls, compliance, Risk Management Committee reporting matters to GDBS Governance & Controls Directorand GDBS Budapest CARM and Process Governance Teams as well as local and Diageo Global Internal and External auditors.

Qualifications and Experience Required:

- University/College degree education in finance/business

- Excellent English

- Audit experience (internal/external) or SOX experience is needed

- 3-5 years experience of Line Management in Leading a small team of specialised staff

- Thorough knowledge of relevant Diageo processes and controls & compliance framework

- Ability to identify risks and can apply them to broad areas

- Ability to communicate in an effective way

- Good ability on prioritisation, urgency and problem solving

- Good project management skills
