Management Consulting Delivering Deal Value Manager
TEAM OVERVIEW: Delivering Deal Value (DDV)
- Delivering Deal Value team is focused on assisting clients in maximizing value in mergers and acquisitions through its expertise across the deal continuum in pre-deal diligence and post-deal management. The team focuses on detailing the value to be delivered, maintaining strong control over scope and cost, and supporting people through the change.
- DDV team works closely with the overall project team and client to collaboratively develop and achieve plans via practical methods and tools. The team has three areas of capability ; integration specialty, industry insight and functional experience to deliver value to a buyer or a seller in a transaction.
POSITION REQUIREMENTS:
Key Responsibilities:
- The incumbent will work with the project team / client across the entire deal continuum in the pre-deal evaluation, post-deal execution and maximizing value stages of a transaction. They would be required to support project teams on global engagements from India, driving company's strategic and operational initiatives, implementing innovative solutions, measuring results early and often, and ensuring performance meets the desired targets.
- Job responsibilities mainly include activities driven towards delivering results ; conduct analyses and develop insights, prepare work plans, support project lead, work directly with project teams and facilitate meetings to enable decision making, organize and write recommendations on client issues, and participate actively in new business development, thought leadership and firm building activities.
Knowledge Preferred:
Candidates should demonstrate experience and knowledge in industry sector (Technology, Media, Telecom, Industrial Products, Oil & Gas, Energy, Utilities, Automotive, Pharmaceuticals, Health Industries, Consumer Goods, Retail, Hospitality, Private Equity) and in the following areas:
Pre-deal Analysis:
1. Operations Due Diligence: Assist clients (buy-side or sell-side) to conduct a detailed analysis of front-office and back-office operations and assess potential merger synergies, standalone improvement opportunities and risks.
2. IT Due Diligence: Assess IT landscape for clients to evaluate go-forward risks, costs and planning of integration of technology, applications and infra
3. Value Capture: Identify performance improvement opportunities and best practices through industry and functional expertise to increase value for client
4. Commercial Due Diligence: Understand the commercial activity for a client on its viability and potential through insights on market demand, position, revenue and competitive dynamics
Execution / Post-deal Analysis:
1. Integration Management: Work with client's functional leads to chart out workplans and execute integration in back-office and front-office processes, systems and employees
2. Separation Management: Assist sell-side clients to carve out target company while minimizing impact on either's operations. Identify TSAs and reverse TSAs and create workplans to ensure smooth transfer of ownership
3. IT Program Management: Integration or carve out planning and execution for clients in order to manage technology, systems, application, and data and create maximum value from a transaction by streamlining systems and processes.
4. Legal Entity Restructuring: To support high-value transactions, manage and assist client's requirements to restructure tax and legal entities to improve financial and/or operating efficiencies.
5. Synergy Tracking / Value Capture: Work with client to identify best practices to improve operating efficiencies and profitability. Also, tracking identified synergies to ensure expected value is realized in a transaction.
Skills Preferred:
- Experience in working with or leading consulting teams in projects autonomously with minimal direction
- Candidate with an ability to demonstrate acumen and fungibility to work in multiple aspects of pre and post deal projects
The candidate should:
- Have experience in transaction or operations due diligence, IT due diligence, Integration planning and tracking support, Divestiture management, operational and performance improvement, strategic growth, or other relevant strategy experience
- Be able to evaluate the client's operations with limited amount of data
- Be able to understand financial statements and the impact of cost levers on client's business be able to evaluate the client's IT systems with limited amount of data
- Have strong data modeling skills
- Have strong business acumen, with analytical and problem-solving skills and ability to understand how business model decisions impact operating model design/ execution across operations, technology, risk governance and organizational design
- Be able to make a business case for capex investments and identify the extent of investments for a successful transaction
- Understand various facets of mergers, acquisitions and divestiture transactions
- Have experience in planning for integration/separation of various front office and back office functions
- Have strong project management skills and the ability to work in a high-pressure deals environment
- Have excellent communication and consulting skills
- Candidates with experience and knowledge in digital enabling tools (Tableau, Alteryx, UiPath, VBA, etc.) are also preferred.
Years of Experience: 8+ years of relevant experience (preferably in management consulting, M&A, Due Diligence, Transaction services, Integrations and Divestiture management or related areas).
Professional and Educational Background:
- Preference for candidates with MBA / Masters / CA or equivalent in related field, from premium institutes is also preferred
- Previous experience in M&A / transaction advisory would be an added benefit
