Job Summary :
The Corporate M&A Manager leads all M&A projects and prospects including all phases of a M&A transaction viz. origination, early analysis/screening, structuring, diligence, negotiation, and closing while continuing to be a guide and touch point during integration.
This position works with business unit management to ensure strategic alignment between M&A activities and long-range plans. Responsibilities include building and leading diligence teams to quickly and accurately assess opportunities; drafting Letters of Intent and assisting in the drafting and negotiations of transaction documents; managing deal execution process; and contributing to the integration planning process.
Rationale for the role :
In-organic growth is an important aspect of the firms overall strategy, and given the company's growth ambitions, the firm is seeking to expand the corporate M&A team with a Manager- M&A. The corporate M&A team leads all acquisitions, minority equity investments and divestitures for the company globally. Reporting directly to the SVP Strategy and M&A, the Manager, M&A will work collaboratively with the Executive Leadership Team to develop and execute the strategic vision and M&A roadmap for the company to deliver strong profitable growth for the company.
Key responsibilities include:
Inorganic Growth, M&A :
- Drive the strategic direction of merger and acquisitions activities together with and in support of the firms business unit's strategies
- Lead all stages of the M&A process, including landscape analysis, pipeline development, due diligence, transaction execution, support development of legal M&A related documents and play an initial role in post-merger integration
- Develop, lead and get buy in for presentations and recommendations that will enable the executive management team to make critical go/no go decisions
Support IR/CEOs office/Strategy Development :
- Support the development of the firm overall strategy as part of the overall corporate strategy and M&A team
- Support Investor relations team
- Work with the CEOs office on IR/M&A/Strategy related issues
Role Interfaces with :
- The Director, M&A will interface with multiple key personnel on a regular basis, including the CEO, CFO, COO, SVP of Strategy and M&A, and Board of Directors.
Professional Qualifications and Experience :
- Relevant Experience : A minimum of 3 total years of experience, ideally including a stint at a recognized investment bank with exposure to cross border M&A
- Mergers & Acquisition Experience : Proven track record of successful M&A transactions throughout the entire M&A lifecycle, including landscape analysis, pipeline development, strategic due diligence, transaction management and post-merger integration
- Structured and Logical Thinking : The ability to understand the strategic implications of portfolio growth analysis, and to make strong, well supported growth recommendations
- Analytical Rigor : Proven capability conducting and managing quantitative portfolio and growth analysis
- Strong leadership, financial, analytical, communication, relationship building, coordination and organizational skills, particularly associated with administering and directing activity under complex M&A agreements; strong knowledge of the company and the business activities undertaken; financial modeling skills; able to function virtually & across multi locations & geographies; excellent execution skills & ability to multi task & prioritize
- Educational Credentials : CA/CFA/MBA from a top-tier educational institution.
Other Requirements :
- Domestic and international travel may be required (30%)
