Manager - Company Secretary (Listed Co.)
Implement processes or systems to ensure good management of the organization. Develop and oversee the systems that ensure the company complies with all applicable codes, in addition to its legal and statutory requirements. Pay dividends to shareholders and manage share option schemes opted by various shareholders.
Key Responsibilities:
- Plan, seek approval and implement on your own initiatives or as directed by the Head Corporate Secretarial Department.
- Assist the Head Company Secretary in managing all aspects of daily operations of the secretarial function relating to the Companies Act 2016 and other relevant statutory compliance.
- Supervise and guide the secretarial staff assigned.
- Be responsible and accountable in preparing resolutions, notice, agenda of meetings, convene and attend Board, shareholders and board committee/management meetings and drafting of minutes.
- Where applicable, draft and review the requisite documentation relating to any corporate exercise.
- Assist the Head Company Secretary in advising the management and board on matter pertaining to statutory requirements as prescribed under the various statues, in particular the Companies Act 2016, Main Market Listing Requirements of BSE & NSE and other relevant laws and regulations.
- Be responsible in ensuring timely submission of statutory returns/documents with the Registrar of Companies and other relevant authorities.
- You shall perform other related tasks as and when required/directed by Head of Department and/or Company Secretary.
Qualification And Experience:
1. ACS with 8-10 years of work experience & well-versed with the provisions of Companies Act 2016, Listing Requirements of BSE & NSE and other relevant laws and regulations.
2. Must have hand-on experience in preparation for and attending shareholders/ board/management meetings, minute writing, drafting resolutions, announcements, reviewing agreement and other corporate secretarial and compliance works. Public listed companies experience - filings with BSE & NSE etc.
3. Use of Microsoft Word and Excel.
4. Able to work independently with minimum supervision and guidance.
