About the Role:

This role will oversee compliance ensuring adherence to regulations, managing board meetings, coordinating with stakeholders, and facilitating securities listing. This role demands strong regulatory understanding, attention to detail, and effective coordination and communication for maintaining compliance and supporting organizational goals.

Reporting To: Deputy Vice President, Company Secretariate

Your Key Responsibilities:

- Routine Secretarial and Compliance Matters: Manage and supervise all day-to-day secretarial and compliance activities related to NBFC/Lending/Investment/AIF/Operating companies, ensuring adherence to legal and regulatory requirements

- Venture Capital Transactions: Handle venture capital transactions and deals, including due diligence, documentation, and regulatory compliance

- NBFC Compliance: Maintain knowledge of and ensure compliance with NBFC regulations, policies, and procedures

- AIF Compliance: Oversee compliance with Alternative Investment Fund (AIF) regulations and requirements

- Investee Company Compliances: Ensure investee companies comply with regulatory and contractual obligations

- Listing of Securities: Streamlining compliance frameworks with aim of preparing the investee companies for IPO and listing

- Structuring and Special Assignments: Structuring of group entities including for new businesses and undertaking of special assignments as may be delegated

- Meeting Supervision: Supervise meetings of the Board of Directors and committees, as well as general meetings, ensuring proper documentation and compliance with applicable laws and regulations and follow up with relevant departments on actionables

- Depository Coordination: Coordinate with depositories for various activities such as dematerialization, rematerialization, pledge, ISIN allocation, and corporate actions

- Stakeholder Coordination: Liaise with internal and external stakeholders, including regulatory bodies (ROC, RBI), depositories, internal and external auditors, ensuring smooth communication and compliance with requirements

- Private Placement of Securities: Manage the private placement of securities, including documentation and regulatory compliance

- Financial Reporting and RBI Returns: Possess a strong understanding of financial statements and RBI reporting requirements applicable to NBFCs, ensuring accurate and timely reporting to credit information companies

Experience & Education Required:

- 10 to 15 years of relevant experience in corporate secretarial and compliance roles, preferably within the financial services industry

Key Skills and Attributes:

- Strong Regulatory Knowledge: In-depth understanding of regulatory frameworks governing Companies/ LLPs, NBFCs, AIFs and investment and finance transactions

- Compliance Management: Ability to ensure compliance with complex regulatory requirements and internal policies

- Attention to Detail: Meticulous attention to detail in documentation, reporting, and compliance activities

- Communication Skills: Excellent communication and interpersonal skills for effectively liaising with internal and external stakeholders

- Organizational Skills: Strong organizational skills to manage multiple tasks and deadlines effectively

- Analytical Skills: Proficiency in analysing financial statements and regulatory requirements to ensure accuracy and compliance

- Team Management: Experience in supervising and coordinating with teams to achieve compliance objectives

- Problem-Solving Ability: Ability to identify and resolve compliance issues effectively and efficiently

- Adaptability: Flexibility to adapt to changing regulatory environments and business requirements

- Ethical Conduct: Commitment to ethical conduct and integrity in all compliance-related activities
