Key Responsibilities
- Manage all secretarial matters and compliances relating to the Company, board of directors and shareholders including convening all board and general meetings (AGM/EGM) - preparing Notices, Agenda, Minutes of Board, General and Committee Meetings. Assisting in Secretarial and Internal Audits.
- Well versed with listing requirements - preparing the Draft Offer Document (DRHP/RHP/Prospectus) as per SEBI (ICDR) Regulations; liasoning for IPO documentation; and assisting management in all IPO activities till listing.
- Ensuring compliances related to filing of IPO to Stock Exchanges, SEBI and ROC.
- Preparing/Reviewing draft resolutions in respect of bonus issue, private placement, Company conversion, Change in Board Constitution etc.
- Coordinating with the Company, Legal Advisors, Practicing Company Secretaries, Registrar & Transfer Agent, Stock Exchange, SEBI etc. throughout the IPO project
- Versed with post listing compliances.
- Provide legal or secretarial support in relation to all company law matters including the incorporation of companies, reviewing and/or drafting articles of association/by-laws/board resolutions involving several countries.
- Maintenance and timely updating of Statutory Registers and all statutory records maintained under Companies Act, 2013.
- Well versed with preparation and e-fling of forms as per the requirement of Companies Act i.e. Annual Filing and other event-based Forms with Ministry of Company Affairs, FCGPR forms with RBI, etc. Preparation of annual return, filing of balance sheet & profit & loss in XBRL.
- Monitor and update the organization on legal developments and changes in laws and regulations as pertinent.
Requirements
- Qualified Company Secretary holding a membership with the Institute of Company Secretaries of India ICSI).
- LLB degree will be an added advantage.
- Atleast 6-7 years of experience in a similar role in an in-house setting or law firm.
- Strong understanding of Indian laws and regulations, especially in the areas of Secretarial Compliance.
- Excellent communication, negotiation and interpersonal skills.
- Ability to work independently and manage multiple tasks and deadlines. You have the ability to structure and prioritize in a high volume, fast-paced environment and drive a process to completion.
