Skills/ Qualifications required:
Company Secretarial Role
- Masters/Bachelor's (CS) degree in law and/or business. Additional certifications in corporate governance or company secretarial (needed) practice may be advantageous.
- Proven experience as a Company Secretary or in a similar role in NBFC or Fintech
- In-depth knowledge of corporate governance principles, company law, and regulatory requirements.
- Strong organisational and multitasking skills.
- Excellent communication and interpersonal skills.
- Ability to work independently and collaboratively with cross-functional teams.
- Attention to detail and a high level of integrity.
Job Responsibilities:
- Maintain accurate and up-to-date records, including corporate books, registers, and official documents.
- Ensure proper documentation of board decisions and resolutions.
- Work with management to implement risk management processes.
- Facilitate communication and coordination of shareholder meetings, proxy voting, and related activities.
Annual Reports and Filings:
- Manage the preparation and filing of annual reports, financial statements, and other required documents with regulatory authorities.
- Ensure timely submission of all necessary statutory filings.
Company Law and Regulations:
- Interpret and provide guidance on company law, corporate governance codes, and other relevant regulations.
- Ensure the company's activities comply with statutory and regulatory requirements.
Compliance Management:
- Stay current with relevant laws, regulations, and industry trends affecting the company.
- Develop, implement, and oversee compliance programs to ensure the company operates within legal and regulatory boundaries.
Corporate Governance:
- Advise the board of directors on corporate governance best practices and ensure the company's adherence to legal and regulatory requirements.
- Coordinate and attend board and committee meetings, preparing agendas, minutes, and resolutions.
