Job Description :
- Conceptualize and structure mergers & acquisition, and corporate restructuring strategies from legal perspective.
- Support the Company's M&A, investment and other corporate development activities, including the due diligence process
- Drafting and negotiation of transaction documents including term sheets, definitive agreements, share subscription and shareholders agreements, closing documents to the transaction, as well as M&A playbooks and related support projects.
- Possess In-depth Business Awareness with a thorough understanding of commercial.
- Manage projects effectively with a team-oriented approach
- He has to close post M&A integration of assets and seamless assimilation of documents.
Ideal Candidate should :
- Must be an LLB from reputed Law School, LLM will be an advantage
- Have a minimum experience of minimum 5 years in a top-tier law firm with focus on Mergers & Acquisition (M&A's) experience.
- PQE of 7-9 Years
- Sound Knowledge of FEMA Regulations, Companies Act and Labour Laws.
- Strong communication skills and excellent drafting skills
- A creative legal mind with strong attention to detail
- Strong decision-making abilities and ability to give executive-level guidance in a timely manner
- Sound and practical business judgment and solution oriented person
- Superior interpersonal skills and team-first attitude .
