Responsibilities:
- Comprehensive Oversight: Lead and manage all functions related to secretarial, legal, contracts, and regulatory reporting for both in-country and cross-border business activities.
- Legal & Secretarial Expertise: Leverage your extensive experience in legal and secretarial matters, including contract management, litigation management, legal opinions, compliance management, stock exchange compliance, and more.
- Regulatory Compliance Champion: Ensure meticulous adherence to all relevant regulations established by bodies like MCA, RoC, SEBI, Stock Exchanges, and RBI.
- Corporate Governance Expert: Drive effective corporate governance by overseeing Board meetings, General meetings, Shareholder meetings, investor management, and annual report preparation.
- Policy & Strategy: Actively participate in formulating and implementing corporate policies and strategies related to legal and compliance matters.
- In-Depth Knowledge: Demonstrate a deep understanding of various compliance requirements, company bye-laws, FDI regulations, ICI regulations, M&A activities, acquisitions, and other strategic initiatives.
- Compliance Champion: Implement robust compliance frameworks and maintain strict adherence to all applicable laws, rules, and regulations.
- Corporate Actions: Execute a diverse range of corporate actions, ensuring smooth and efficient completion.
- Legal Representation: Provide legal representation in domestic and international legal proceedings when necessary.
Requirements:
- Proven Experience: A minimum of 7+ years of experience in a similar role, preferably within a company with both domestic and international operations.
- In-depth Knowledge: Possess a thorough understanding of Indian corporate laws, regulations, and best practices in secretarial and legal matters.
Qualifications: A qualified Company Secretary (CS) with a relevant professional qualification (e. , CS, LLB).
- Leadership Skills: Demonstrated leadership and management abilities to effectively lead and motivate a team.
- Strong Analytical Skills: Highly analytical with excellent problem-solving skills.
- Communication & Interpersonal Skills: Excellent written and verbal communication skills, coupled with strong interpersonal skills to effectively collaborate with internal and external stakeholders.
